<br />E. If the Owner fails to make payment when due the Construction Manager for selVices and expenses. <br />the Construction manager may upon seven days' written notice to the Owner. suspend performance <br />of services under this Agreement. Unless.payment in full is received by the Construction Manager <br />within seven days of the date of notice, the suspension shall take effect without further notice. In the <br />event of a suspension of services, the Construction Manager shall have no liability to the Owner for <br />delay or damage caused to the Owner because of such suspension of selVices. <br /> <br />F. In the event of tennination not the f..ult of the Constmction Manager, the Constmction Manager <br />shall be compensated for selVices perfonned prior to tennination. together with Reimbursable <br />Expenses then due and all Tennination Expenses. Tennination Expenses are those costs directly <br />attributable to tennination for which the Constmction Manager is not otherwise compensated. <br /> <br />VIII. COMPENSA nON OF CONSTRUCTION MANAGER <br /> <br />A. Basic Compensation <br /> <br />I. For Basic SelVices, compensation shall be computed and paid as of the first day of each <br />montll. Basic compens..tion shall be set at Fifty Thousand Dollars and nollOO's ($50,000). <br /> <br />2. The Construction Manager shall be paid monthly over a twelve month period in equal <br />payments, retaining 10% as a payment upon satisfactory final inspection. (12 monthZv <br />payments of$3, 750, with $.1,000 paid upon completion). <br /> <br />3. Should the Project be completed prior to twelve months, then the remainder of the sum <br />shall be due and payable upon satisfactory final inspection. <br /> <br />4. Should the Project be completed later than a twelve month period. then the final payment <br />of 10% shall be withheld until satisfactory final inspection. <br /> <br />5. If at any time it is calculated by the Construction Manager that the Project is likely to be <br />completed later than a total of twelve months, then the Construction Manager shall have <br />the right to have the remainder of the sum. less the original 10%, prorated over the <br />remainder of the expected time for completion. <br /> <br />B. Reimbursable Expenses <br /> <br />I. Reimbursable Expenses are in addition to Basic Compensation and include expenses <br />incurred by the Constmction Manager and Construction Manager's employees and <br />consultants in the interest of the Project. <br /> <br />2. Reimbursable Expenses are defined as: <br /> <br />a. <br /> <br />Expenses of transportation, meals, and lodging in connection with the Project for <br />authorized out-{)f-town travel, long-distance communications, and fees paid for <br />securing approval of authorities having jurisdiction over the Project; <br /> <br />b. <br /> <br />Expenses of photographic reproduction, postage, express deliveries, electronic <br />facsimile transmissions, printing, photocopies, and handling of Drawings, <br />Specifications and other documents; and <br /> <br />c. <br /> <br />Expenses authorized in advance by the Owner. <br /> <br />Construction Manager Contract <br /> <br />Page 10 <br />
