<br />Article 7. Disputes <br /> <br />Should disputes arise as to the parties' obligations or responsibilities established in this <br />agreement. the State's decision shall be final and binding. <br /> <br />Article 8. Amendments <br /> <br />Any changes in the character, responsibilities or obligations established herein shall be enacted <br />by written amendment executed by all parties hereto. <br /> <br />Article 9. Gratuities <br /> <br />Texas Transportation Commission policy mandates that employees of the State shall not accept <br />any benefit, gifts, favors or gratuities from any person or business doing business with the State <br />under this agreement. The only exceptions allowed are ordinary business lunches and items that <br />have received the advance approval of the State's Executive Director. Any person or <br />organization doing business with the State may not make any offer of benefits, gifts, favors or <br />gratuities to State employees, except as mentioned hereinabove. Failure on the part of the <br />Recipient to adhere to this policy may result in termination of this agreement. <br /> <br />Article 10. Legal Construction <br /> <br />In case one or more provisions contained in this agreement shall for any reason be held to be <br />invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability <br />shall not affect any other provision thereof and this shall be construed as if such invalid, illegal <br />or unenforceable provision had never been contained herein. <br /> <br />Article 11. Prior Agreements Superseded <br /> <br />This agreement constitutes the sole and only agreement of the parties hereto and supersedes any <br />prior understanding or written or oral agreements between the parties respecting the within <br />subject matter. <br /> <br />Article 12. Signatory Warranty <br /> <br />The signatories to this agreement warrant that each has the authority to enter into this agreement <br />on behalf of the organization or entity they represent. <br /> <br />Page 4 of 5 <br /> <br />Design Division <br />8-99(D)-2 <br />
