<br />Attachment D <br />Standard Provisions and Assurances <br /> <br />27.3. Statutes Relating To Nondiscrimination <br /> <br />, <br />27.3.1. The CONTRACTOR shall comply with all applicable state and federal statutes <br />relating to nondiscrimination which include, but are not limited to, those listed in <br />the Uniform Grant Management Standards. <br /> <br />27.4. Concerning Subcontractors, Suppliers and Others <br /> <br />27.4.1. All contractual expenditures using funds provided under this Agreement shall <br />meet all procurement laws and regulations applicable to the A TCOG and <br />CONTRACTOR and the Uniform Grant and Contract Management Act and the <br />Uniform Grant Management Standards. Note that competitive bidding will <br />generally be required. <br /> <br />27.4.2. The ATCOG shall be responsible for the management and fiscal monitoring of <br />all subcontractors and subgrantees. The A TCOG shall monitor its <br />subcontractors and subgrantees as necessary to ensure that the subcontractors <br />and subgrantees are operating consistently with applicable laws and regulations, <br />applicable contracting policies, and this Agreement. The A TCOG shall ensure <br />that all subcontractors and subgrantees comply with all record keeping and <br />access requirements set forth in this Agreement. The TNRCC reserves the right <br />to perform an independent audit of all subcontractors and subgrantees. The <br />ATCOG, subcontractors and subgrantees shall maintain detailed records. <br /> <br />27.4.3. Funds provided by the TNRCC pursuant to this Agreement that are paid to the <br />subcontractor shall be used by the subcontractor solely to satisfy the purposes <br />of the Agreement. <br /> <br />27.5. Intellectual Property Requirements <br /> <br />27.5.1. Intellectual Property requirements as set forth in this Section. <br /> <br />27.5.1.1. Royalties and Patent Fees. CONTRACTOR shall pay all license <br />fees and royalties and assume all costs incident to the use or <br />possession in the performance of the work or the incorporation in the <br />work of any Intellectual Property. <br /> <br />27.5.1.2. Disclosure of Intellectual Property produced during the work. <br />CONTRACTOR shall promptly notify ATCOG of all Intellectual <br />Property which A TCOG or A TCOG's employees, subcontractors, or <br />subcontractor's employees may produce, either solely or jointly with <br />others, during the course of the work.
