<br />Attachment D <br />Standard Provisions and Assurances <br /> <br />obligations indicated in the Agreement, will survive final payment, completion and <br />acceptance of the work and termination or completion of the Agreement. <br /> <br />40.0. CONTRACTUAL COSTS <br /> <br />40.1. CONTRACTOR'S contractual costs must comply with allowable costs <br />requirements. CONTRACTORS which are governmental entities must engage <br />in contractor selection on a competitive basis in accordance with their <br />established policies. If CONTRACTOR has no competitive procurement policy <br />or is a private entity, CONTRACTOR must generally select contractors by <br />evaluation and comparison of price, quality of goods or services and past <br />performance. All subgrants awarded by the CONTRACTOR under this <br />Agreement shall be in accordance with Subpart C, Sec._,37, Subsection (b) of <br />the State Uniform Administrative Requirements for Grants and Cooperative <br />Agreements as set forth in Part III of the Uniform Grant Management <br />Standards adopted by the Governor's Office of Budget and Planning. <br /> <br />41.0. TERMINATION <br /> <br />41.1. This Agreement shall terminate upon full performance of all requirements <br />contained herein, unless extended in writing. <br /> <br />41.2. This Agreement may be terminated in whole or in part by the ATCOG in the <br />event of a material failure to comply with the contract terms, in accordance with <br />the Uniform Grant Management Standards; Provided that no such termination <br />may be effected unless the other party is given as set forth in this Section. <br /> <br />41.2.1. <br /> <br />Not less than ten (10) days written notice (delivered by certified mail, <br />return receipt requested) of intent to terminate. <br /> <br />41.2.2. <br /> <br />An opportunity for consultation with the terminating party prior to <br />termination. <br /> <br />41.3. This Agreement may be terminated in whole or in part in writing by the A TCOG <br />for its convenience, in accordance with the Uniform Grant Management <br />Standards: Provided that the CONTRACTOR is given not less than ten (10) days <br />written notice (delivered by certified mail, return receipt requested) of intent to <br />terminate. Circumstances in which the ATCOG may terminate for convenience <br />include, but are not limited to, the Texas Legislature's withdrawal of <br />appropriations for this project and the depletion of funds in the Municipal Solid <br />Waste Disposal and Transportation Revenue Fee. <br /> <br />56 <br />
