<br />mTERGOVERNMENTALAGREEMENT <br /> <br />STATE OF TEXAS <br /> <br />COUNTY OF LAMAR <br /> <br />) <br />) <br />) <br /> <br />KNOW ALL MEN BY THESE PRESENTS: <br /> <br />THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, acting by and <br /> <br />through its Mayor, Eric S. Clifford, duly authorized, hereinafter called PARIS, and the CITY OF <br /> <br />COOPER, COOPER, TEXAS, a municipal corporation, acting by and through its Mayor, Richard <br /> <br />C. Huie, duly authorized, hereinafter called COOPER, do hereby contract and agree as follows: <br /> <br />1. PARIS agrees to provide small animal control services, limited to cats and dogs, <br />to COOPER. <br /> <br />2. For and in consideration of such services, COOPER agrees to pay to PARIS as <br />follows: <br /> <br />5-day fee for animals held <br />for adoption (euthanasia <br />included, if necessary) <br /> <br />$30.00 per animal <br /> <br />Euthanasia fee for animals <br />delivered for immediate <br />destruction under either of <br />the following conditions: <br /> <br />$10.00 per animal <br /> <br />a. Under the same rules and regulations governing the animals collected <br />within the City of Paris by the City of Paris Animal Control Division. <br /> <br />OR <br /> <br />b. Upon certification by City of Cooper personnel that the holding period for <br />adoption has been satisfied by the City of Cooper. <br /> <br />3. COOPER shall defend, indemnify, save, and hold whole and harmless PARIS and <br />all of its past, present, and future officers, elected officials, employees, agents, <br />insurers, and attorneys against any and all claims, lawsuits, judgments, settlements, <br />costs, and expenses for personal injury (including death), property damage, or other <br />harm for which recovery or damages is sought suffered by any person or persons that <br />may be occasioned by, or arise out of, PARIS's performance of any of the terms or <br />provisions of this Agreement, or by any negligent or strictly liable act or omission by <br />COOPER, its past, present, and future officers, elected officials, employees, <br />agents, insurers, and attorneys in the performance of its duties, It is understood that <br />it is not the intention of the parties hereto to create liability for the benefit of third <br /> <br />EXHIBIT A <br />
