include copies of permits obtained by American for the construction of the <br />Facility, and shall be delivered in the same manner as other notices pursuant <br />to Section 6.E of this Master Agreement. Additionally, the PEDC shall make <br />available funds for the reconstruction and rehabilitation of the Kiamichi and <br />PEDC owned rail line to the Property subject to the terms of paragraph 3.6, <br />"Rail Reconstruction." <br />B. Claw back provisions as to Grant of Funds. <br />1. Claw back provisions relating to FTE creation and maintenance: <br />American commits to create and maintain, at a minimum, an Average <br />Headcount of sixty (60) FTE beginning in the First Year of Production and <br />continuing throughout the next six (6) calendar years, for a total of seven <br />(7) calendar years. For each of these seven (7) years, if American's <br />Average Headcount is less than sixty (60) FTE positions, American shall <br />repay Grant Funds to PEDC the sum of $5,000.00 per FTE position below <br />sixty (60). By way of example, if in Year 4, American maintains an <br />Average Headcount of 50, American shall repay PEDC the amount of <br />$50,000.00. <br />3. Notwithstanding the foregoing, in no event will American be liable under <br />this paragraph 3.4.13. for a total claw back amount, in the aggregate over <br />the relevant seven year period, greater than $1,500,000.00. <br />3.5 Additional Cash for Jobs Incentive <br />32300891 00 1.0 <br />
