A. American will construct a spiral weld pipe mill Facility at the Property and <br />once constructed, will operate and maintain said Facility as a spiral -weld <br />pipe mill throughout the duration of this Master Agreement. <br />B. Except in the event of a timely protest or contest of such taxes, American will <br />pay all taxes when due, including but not limited to: federal employment, <br />payroll and Medicare taxes on its employees; all state and local sales and use <br />taxes and excise and franchise taxes; and all ad valorem taxes on all real and <br />personal property not otherwise abated by the Tax Abatement Agreement <br />attached hereto as Exhibit C. <br />C. American agrees not to knowingly employ undocumented workers at the <br />Facility and shall not otherwise violate 8 U.S.C. Section 1324a(f) regarding <br />the employment of undocumented workers during the term of this <br />Performance Agreement. <br />D. American is limited liability company duly organized, validly existing and in <br />good standing under the laws of the State of South Carolina, has all the power <br />and authority necessary to carry on its business in the State of Texas, and has <br />filed with and received from the Secretary of State of Texas, its Certificate of <br />Existence to transact business in Texas. <br />E. American has the authority to enter into and to perform this Master <br />Agreement, and represents that it has the intention of constructing and <br />operating a spiral weld pipe mill in Paris, Lamar County, Texas and to create <br />and retain new jobs at the Facility as described herein. <br />F. American has received at this time all necessary rights, licenses® leases, <br />permits and other evidences of authority to conduct and carry on its business <br />in the State of Texas in accordance with the representations which it has <br />made to P and the City herein. <br />G. American is aware of the statutory limitations upon PEDC in entering into <br />this Master Agreement pursuant to the provisions of the Texas Economic <br />Development Corporation Act, TEx. Loc. GOVT CODE ANN., CHAPTERS 501 AND <br />504. American further acknowledges and agrees that the land and funds <br />provided to it hereunder as an economic incentive for building the Facility <br />and creating new jobs in Paris, Lamar County, Texas, shall be utilized solely <br />for the purposes authorized under the Texas statute just cited and the terms <br />17 <br />32300891 00 <br />
