<br />ADDENDUM NUMBER TWO TO HAY LEASE AGREEMENT

<br />KNOW ALL MEN BY THESE PRESENTS, that this Addendum Number Two to Hay
<br />
<br />Lease Agreement dated September 9, 1991, between Richard Finley and the City of Paris, Paris,
<br />
<br />Texas, is made this 11th day of September, 1995, by and between Richard Finley, hereinafter
<br />
<br />called LESSEE, and the City of Paris, Paris, Texas, acting by and through its Mayor, Eric S.
<br />
<br />Clifford, duly authorized, hereinafter called LESSOR.

<br />WITNESSETH
<br />
<br />It is hereby mutually agreed by and between LESSOR and LESSEE that the first
<br />
<br />paragraph of said Hay Lease Agreement be amended so that such shall read as follows:
<br />
<br />"That the CITY OF PARIS, a municipal corporation, of the County of
<br />
<br />Lamar and State of Texas, hereinafter called LESSOR, for and in consideration
<br />
<br />of the sum of One Thousand One Hundred and One and no/100 Dollars
<br />
<br />($1,101.00) cash, to it in hand paid by Richard Finley, hereinafter called
<br />
<br />LESSEE, the receipt of which is hereby acknowledged, and in consideration of
<br />
<br />a like payment of One Thousand One Hundred and One and no/IOO Dollars
<br />
<br />($1,101.00) each year, said $1,101.00 to be due on or before October 1st of each
<br />
<br />year, has bargained and sold, and does by these presents bargain and sell unto the
<br />
<br />said LESSEE, all the grasses and hay now standing and growing and to be
<br />
<br />grown, and the right to cut and bale the same, for a period of five (5) years,
<br />
<br />beginning October I, 1991, upon all that certain tract of land owned by the City
<br />
<br />of Paris, situated in Lamar County, Texas, and known as the Lake Gibbons
<br />
<br />property, consisting of approximately 175 acres of land, roughly depicted by the
<br />
<br />green shaded area on Exhibit A, attached hereto, save and except 3.673 acres
<br />
