PEDC Board Meeting Minutes <br />November 25, 2019 <br />Page 3 of 4 <br />delay. Mr. Hernandez suggested that the deadlines in the Master Agreement be shown to the Board <br />in a timeline chart next month. He went on to say that the rail development has been delayed. It <br />doesn't matter who is responsible for the delays. It matters when we miss a deadline and the fact <br />that we inform does not subrogate our responsibility. Ms. Harris added that we will need to double- <br />check for a deadline. She did not recollect there being a deadline on rail. Mr. Stout stated the only <br />deadline he recalled in the Master Agreement beyond the Phase II was for the Phase III Wetlands <br />which was to be six months after Phase II. This should take place in April 2020. The rail does not <br />have a deadline attached to it, just the requirements that we assist them. Mr. Hernandez stated there <br />was a deadline on rail. Mr. Paris interjected that the rail would need to be done by the time the plant <br />goes into production. Mr. Paris went on to say, Mr. Hook with American SpiralWeld said that if rail <br />is delayed it is because rail is a different organization and we are working with rail's timelines. Mr. <br />Hernandez stated that when there is a verbal agreement agreeing to delays, a written document <br />showing what was agreed to should be completed. <br />Asset Mang ement: <br />• Preparation of Gene Stallings Business Park. There is an issue with the water pump station next <br />to the property which is mainly used by Kimberly Clark. We are evaluating the capacity of the <br />pump and may need to put in a larger pump. Mr. Pankaj asked if this would be a PEDC cost. Mr. <br />Paris said it would. If Walker Partners are prepared to present, we will do that next month. Walker <br />Partners purpose is to advise the PEDC on what infrastructure is needed at the property. Dr. Hashmi <br />questioned when did we decide on the engineering firm and how was it was decided. Mr. Paris <br />answered that he chose Walker Partners. Dr. Hashmi asked if the Board approved them. Mr. Paris <br />stated he wasn't sure, but didn't think they had. Mr. Hernandez asked about the scope of work and <br />what the costs of Walker's services were. He went on to say that we need to look at both the scope <br />and the dollar amount for Walker Partners. Also, we need to look at other companies. <br />Scope of work for land clearing. EST, Inc. will be contacted to make a presentation on the list of <br />properties and the scope of work needed for clean-up and development. The priorities on the land <br />clearing will be listed along with the properties. Mr. Hernandez asked if three bids would be ready <br />by the next Board Meeting. Mr. Paris stated that we would not have bids by the next meeting; we <br />would have the properties prioritized. EST, Inc. is in contact with the City and we will prepare to <br />move forward quickly. <br />• Prioritizing land preparation for development. At the next meeting we will have a list compiled <br />of the PEDC properties and their priority on cleanup. The first priority will be cleaning the southern <br />part of the NW Business Park in preparation for Rocket X. The SW Business Park property will be <br />second on the list. <br />Questions. Dr. Hashmi asked on what basis were the priorities decided on. Mr. Paris told the Board <br />that we are working out a schedule with EST, Inc. Dr. Hashmi asked whether the prioritization is a <br />part of engineering or a part of marketing. Mr. Paris answered that it was a part of engineering. Dr. <br />Hashmi stated that marketing would be better, since you want to know which properties are the <br />most marketable. Mr. Pankaj stated that the order the properties are listed in is also the fastest order <br />to develop the properties. Dr. Hashmi asked why an engineering company should be deciding what <br />land ought to be developed first. Mr. Paris responded that the infrastructure around the properties <br />needs to be included in the assessment, as well as, the ease of traffic flow into the site. Dr. Hashmi <br />added that only someone with marketing experience would know which is the best property to <br />market first. <br />
