Collegiate Dr. 15. Discuss and possibly act on removal of Director or Directors from the Paris Economic Development Corporation Board of Directors pursuant to Sec. 4.11 of the Bylaws of the Paris Economic Development Corporation (Pursuant to the Bylaws of the Paris Economic Development Corporation, five affirmative votes are required to remove a Director from the PEDC Board of Directors) - (A motion to remove this item from the table is required before deliberating.) 16. Discuss and possibly act on a Resolution approving a request by the Board of Directors of the Paris Economic Development Corporation to amend the Bylaws of the Corporation, including but not limited to: a. Increasing the number of Directors from five (5) to seven (7). b. Requiring City Council approval prior to the corporation's borrowing funds or incurring any indebtedness. c. Removing the provision that the City Attorney act as legal counsel for the corporation. City Council may adopt these amendments as presented, may reject all or some of the proposed amendments, may revise the proposed amendments, or may adopt additional amendments to the Bylaws. Changes that City Council may consider and approve include, but may not be limited to, designating one of the seven (7) seats on the Board of Directors to be filled by a sitting City Council Member, who shall serve a one-year term, and making such other revisions as may be necessary to effectuate this change.
