An Economic Development Advisory board is hereby established as follows: <br />1. The advisory board shall consist of up to 7 members. The city council of Paris shall appoint <br />only those individuals that it deems qualified to serve on the board. <br />2. Members of the board shall be selected because of experience in general business and <br />marketing, experience in manufacturing, and those having significant political connections in <br />Austin. <br />3. No residency requirement is mandatory, but in general, members should be qualified voters of <br />Lamar County, reside within the county, and have no delinquent indebtedness to the city. <br />4. Up to two members may be appointed from out of the city council, which if appointed shall <br />serve one-year terms. <br />S. Members shall serve without compensation, but may be reimbursed for actual expenses as <br />approved by the city council. <br />6. Members' terms shall be for two years. A vacancy on the board may be filled by the city <br />council at any time. <br />7. if a replacement has not qualified upon the expiration of a member's term, then that member <br />shall continue his/her membership until replaced. <br />8. A:chairperson shall be appointed by the city council. The economic development board may <br />annually elect a vice-chairman. <br />9. The city manager shall be an ex officio member of the board, with responsibility to participate in <br />discussions, but without the right to vote. <br />10. Attendance to board meetings is encouraged. The Paris City Council may remove any member <br />who fails to attend 75% of board meetings. Any vacancy thus created may be filled by the city <br />council at any time. <br />11. Members shall serve at the discretion of the city council and may be removed at the discretion <br />of the city council. <br />12. The board shall normally meet monthly, or as often as needed depending on the business <br />before it. However, in any case it shall meet a minimum of six times per year. <br />13. As the board is purely advisory in function, a quorum is defined as consisting of those board <br />members who attend any regularly scheduled meeting. <br />Conflicts of interest <br />No person may serve on the board who in the last five years has had significant ownership in an <br />entity that in the last five years has requested or received abatements, grants, or other financial <br />considerations from the Paris Economic Development Corporation, any other economic <br />development structure in Lamar County, the City of Paris, or their precedents. Further, no person <br />may serve on the board who in the last five years has had significant ownership in an entity that in <br />the last five years has had significant financial dealings with any of the forgoing, defined as <br />f v <br />D1,00j or more in a single year. Further, relatives within the second degree by affinity (marriage) <br />or within the third degree by consanguinity (blood) of such person also may not serve on the <br />board. <br />
