of the Issuer's contractual obligations incurred in connection with the Project, including payment
<br />of the costs of issuing the Certificates.
<br />Section 2. DESIGNATION, DATE, DENOMINATIONS, NUMBERS, MATURITIES OF
<br />CERTIFICATES AND INTEREST RATES. Each certificate issued pursuant to this Ordinance shall
<br />be designated: "CITY OF PARIS, TEXAS, COMBINATION TAX AND SURPLUS REVENUE
<br />CERTIFICATE OF OBLIGATION, SERIES 2021 ", and initially there shall be issued, sold, and
<br />delivered hereunder one fully registered certificate, without interest coupons, dated May 1, 2021,
<br />in the principal amount stated above and in the denominations hereinafter stated, numbered T-1,
<br />with certificates issued in replacement thereof being in the denominations and principal amounts
<br />hereinafter stated and numbered consecutively from R-1 upward, payable to the respective
<br />Registered Owners thereof (with the initial certificate being made payable to the initial purchasers
<br />as described in Section 11 hereof), or to the registered assignee or assignees of said certificates or
<br />any portion or portions thereof (in each case, the "Registered Owner"). The Certificates shall mature
<br />on December 15 in the years and in the principal amounts and interest rates set forth below, interest
<br />on each Certificate accruing on the basis of a 360 -day year of twelve 30 -day months from the date
<br />of initial delivery of the Certificates to the purchasers thereof or the most recent interest payment
<br />date to which interest has been paid or provided for at the per annum rates of interest, payable
<br />semiannually on December 15 and June 15 of each year until the principal amount shall have been
<br />paid or provision for such payment shall have been made, commencing December 1.5, 2021, as
<br />follows:

<br />Conversion and Exchange: Authentication. The Issuer shall keep or cause to be kept at the corporate
<br />trust office of BOKF, NA, Dallas, Texas, the "Paying Agent/Registrar"), books or records for the
<br />registration of the transfer, conversion and exchange of the Certificates (the "Registration Books"),
<br />and the Issuer hereby appoints the Paying Agent/Registrar as its registrar and transfer agent to keep
<br />such books or records and make such registrations of transfers, conversions and exchanges under
