<br />WHEREAS, the City Council of the City of Paris did
<br />heretofore in Ordinance No. 84-039, passed on the 11th day
<br />of June, 1984, grant a franchise to McCaw Midwest Communica-
<br />tions, Inc.; and,
<br />
<br />WHEREAS, McCaw Midwest Communications, Inc., has been
<br />succeeded by McCaw South Central Communications, Inc.; and,
<br />
<br />WHEREAS, pursuant
<br />84-039, McCaw South
<br />present holder of the
<br />rights throughout the
<br />to the transfer of
<br />Communications, Inc.,
<br />corporation; and,
<br />
<br />to Section 16(b) of Ordinance No.
<br />Central Communications, Inc., the
<br />community antenna television franchise
<br />City of Paris, has applied for consent
<br />its stock from McCaw South Central
<br />to Cooke Cab1eVision, Inc., a Nevada
<br />
<br />WHEREAS, it appears to the City Council of the City of
<br />Paris that Cooke CableVision, Inc., is qualified to control
<br />McCaw South Central Communications, Inc., which company will
<br />continue to construct, own, operate and maintain the system
<br />it is acquiring in conformity with Ordinance No. 84-039;
<br />and,
<br />
<br />WHEREAS, it appears to the City of Paris that Cooke
<br />CableVision, Inc., is qualified to control the community
<br />antenna television franchise rights within the corporate
<br />limits of the City of Paris; NOW, THEREFORE,
<br />
<br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
<br />PARIS, That McCaw South Central Communications, Inc.,
<br />successor to McCaw Midwest Communications, Inc., is hereby
<br />granted authority to transfer control of the community
<br />antenna television franchise rights granted in Ordinance No.
<br />84-039 to Cooke CableVision, Inc.
<br />
<br />BE IT FURTHER RESOLVED, That, Cooke CableVision, Inc.,
<br />be, and it is hereby authorized to assign its interest, when
<br />received from McCaw South Central Communications, Inc., for
<br />security purposes only to such financial institutions as may
<br />be selected to finance the acquisition and operation of the
<br />community antenna television system.
<br />
<br />This Resolution shall become effective only upon
<br />completion of the sale of all of McCaw South Central Commun-
<br />ications, Inc. 's stock to Cooke CableVision, Inc., and if
<br />such sale is not consumated, this Resolution shall be of no
<br />force or effect.
<br />
