liabilities, suits, claims and causes of action of every kind and character whatsoever for
<br />damage or injuries to persons and/or property occurring or arising as a result of the services
<br />provided by CITY under this Agreement, including, but not limited to, those demands, debts,
<br />liabilities, suits, claims, and causes of action resulting from the actions or inactions of CITY'S
<br />invitees, agents, servants, employees, or visitors, and CONSULTANT shall not be liable for
<br />CITY, its invitees, agents, servants, employees or visitors in the performance of this
<br />Agreement and CITY agrees to hold and save CONSULTANT harmless from all claims for
<br />any such damages or injuries.
<br />J.R. Aviation furthermore waives and releases CITY from, and CITY shall not be
<br />liable for, any and all claims, demands, debts, liabilities, suits, and causes of action, whether
<br />known or unknown, including but not limited to lost profits, related in any way to the FBO
<br />AGREEMENT and any prior FBO agreements between the parties, including but not limited
<br />to claims sounding in tort or in contract, or through regulatory or administrative action.
<br />CITY furthermore waives and releases J.R. Aviation, and J.R. Aviation shall not be liable
<br />for, any and all claims, demands, debts, liabilities, suits, and causes of action, whether
<br />known or unknown, including but not limited to lost profits, related in any way to the FBO
<br />AGREEMENT and any prior FBO agreements between the parties, including but not limited
<br />to claims sounding in tort or in contract, or through regulatory or administrative action.
<br />Article 7: VENUE
<br />The controlling law and venue for any dispute that should arise out ofthis CONTRACT
<br />shall be that of Lamar County, Texas.
<br />Article 6: MISCELLANEOUS PROVISIONS
<br />1. The undersigned officers and/or agents of the parties hereto are the properly authorized
<br />officials and have the necessary authority to execute this CONTRACT on behalf of the
<br />parties hereto, and each party hereby certifies to the other that any necessary resolutions or
<br />other acts extending such authority have been duly passed and are now in full force and
<br />effect.
<br />2. This Agreement represents the entire and integrated agreement between CITY and J.R.
<br />Aviation and supersedes all prior negotiations, representations and/or agreements, either
<br />written or oral. This Agreement may be amended only by written instrument signed by
<br />both CITY and J.R. Aviation.
<br />3. If any clause, paragraph, section or portion of this CONTRACT shall be found to be illegal,
<br />unlawful, unconstitutional or void for any reason, the balance of the CONTRACT shall
