charges which LESSEE is obligated to pay under the provisions of this paragraph remain unpaid <br />and contested later than fifteen (15) days before the same shall become delinquent, LESSOR may <br />declare this LEASE, and all rights and interest created by it, to be terminated, pursuant to the <br />provisions contained herein below. <br />INDEMNITY & INSURANCE: <br />26. LESSEE COVENANTS AND AGREES TO INDEMNIFY AND DOES HEREBY <br />INDEMNIFY, HOLD HARMLESS AND DEFEND CITY, ITS OFFICERS, AGENTS, <br />SERVANTS AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR <br />SUITS FOR PROPERTY DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING <br />DEATH, TO ANY AND ALL PERSONS, OF WHATSOEVER KIND OR CHARACTER, <br />WHETHER REAL OR ASSERTED (INCLUDING, WITHOUT LIMITATION, REASONABLE <br />FEES AND EXPENSES OF ATTORNEYS, EXPERT WITNESSES AND OTHER <br />CONSULTANTS) ARISING OUT OF OR IN CONNECTION WITH, DIRECTLY OR <br />INDIRECTLY, THE NEGLIGENT OR OTHERWISE WRONGFUL ACTS OR OMISSIONS <br />OF LESSEE, ITS AGENTS, SERVANTS, CONTRACTORS, OR EMPLOYEES IN <br />CONNECTION WITH THIS LEASE, INCLUDING BUT NOT LIMITED TO INJURY OR <br />DAMAGE TO CITY PROPERTY. SUCH INDEMNITY SHALL SURVIVE THE TERM OF <br />THIS LEASE. THERE IS NO JOINT ENTERPRISE BETWEEN LESSOR AND LESSEE. <br />27. LESSEE shall maintain, during the life of Lease, and any extensions hereof, general liability <br />coverage with minimum limits for damages resulting from bodily injury or death of <br />$250,000 per person and $500,000 per occurrence, and $250,000 per occurrence for property <br />damage, or a combined single limit of $500,000, or in such other amounts mutually agreed <br />upon to fully and reasonably protect both LESSEE and LESSOR. LESSOR shall be <br />named as an additional insured with a waiver of subrogation in favor of LESSOR. All costs <br />of such insurance shall be borne by LESSEE. Such insurance policy or policies must be issued by <br />a reputable provider licensed to write such policies in the State of Texas. <br />28. With regard to all insurance required under this Lease, it is expressly provided that such <br />insurance policy or policies shall and must be written and issued by a reputable insurance company <br />or companies, with LESSOR as an additional insured, subject to approval by the City Attorney of <br />the City of Paris; and LESSEE or LESSEE's insurance carrier or carriers shall deliver a copy of <br />any such policies to the City Clerk of the City of Paris prior to occupation of leased premises, <br />evidencing the fact that such insurance is in fall force and effect at all times during this Lease, and <br />Revised 1-10-2022 <br />
