STATE OF TEXAS 9 9 9 KNOW ALL MEN BY THESE PRESENTS COUNTY OF LAMAR THAT the CITY OF corporation, acting by hereinafter referred COMPANY, Suite 2200, hereinafter referred agree as follows: PARIS, Paris, Texas, a municipal and through its Mayor, Joe Graham, to as CITY and ARTHUR ANDERSEN & 1201 Elm Street, Dallas, Texas 75270, to as ACCOUNTING FIRM, do contract and 1. The CITY wishes to procure and the ACCOUNTING FIR}! desires to provide professional services as described in Exhibit A attached hereto and incorporated herein for all legal purposes, for FIFTY THREE THOUSAND ONE HUNDRED AND NO/lOO DOLLARS ($53,100.00) plus out-of-pocket expenses for lodging and travel to be approved by the City Manager of the City of Paris. 2. CITY and ACCOUNTING FIR}! each bind itself, its successors and assigns to this agreement and to the covenants contained herein. ACCOUNTING rI~1 shall not assign, sublet, or transfer its interest in the contract without the written consent of CITY. 3. ACCOUNTING FI~! will not discriminate against any employee or applicant for employment because of race, religion, color, sex or national origin. ACCOUNTING FI~1 will take affirmative action to insure that applicants are employed and that employees are treated during employment without regard to their race, religion, color, sex or national origin. Such action shall include, but is not limited to the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff, termination; rates of payor other forms of compensation; and selection for training, including apprenticeship. ACCOUNTING FIRM agrees to post, in conspicuous places available to employees and applicants for employment, notices setting forth the requirements of these non-dis- crimination provisions. 4. CITY and ACCOUNTING FIRM hereby agree to the full performance of the covenants contained herein. Entered into this 11th day of February, 1985.
