Easement in Gross Agreement <br />Notice of confidentiality rights: If you are a natural person, you may remove or strike any <br />or all of the following information from any instrument that transfers an interest in real <br />property before it is filed for record in the public records: your Social Security number or <br />your driver's license number. <br />Date: January , 2023 <br />Grantor: City of Paris, Texas, a Texas Home Rule Municipality <br />Grantee: Greater Paris Development Foundation, a Texas Non -Profit Corporation <br />Easement Property: See Exhibit "A" attached hereto <br />Easement Purpose: For the construction, operation, maintenance, and repair of a pedestrian and <br />bicycle trail to provide access, ingress, and egress for public pedestrian and bicycle traffic <br />over and across the easement property to be used in connection with the larger public trail <br />commonly known as the "Northeast Texas Trail". <br />Consideration: Good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged by Grantor. <br />Grant of Easement: Grantor, for the Consideration and subject to the Reservations from <br />Conveyance and Exceptions to Warranty, grants, sells, and conveys to Grantee and <br />Grantee's heirs, successors, and assigns an easement over, on, and across the Easement <br />Property for the Easement Purpose, together with all and singular the rights and <br />appurtenances thereto in any way belonging (collectively, the "Easement"), to have and <br />to hold the Easement to Grantee and Grantee's heirs, successors, and assigns forever. All <br />warranties that might arise by common law and the warranties in Section 5.023 of the <br />Texas Property Code (or its successor) are excluded. <br />Terms and Conditions: The following terms and conditions apply to the Easement granted by this <br />agreement: <br />1. Character of Easement. The Easement and related rights granted by Grantor in <br />this agreement to Grantee are a nonexclusive and irrevocable easement in gross for the benefit of <br />Grantee and its successors and assigns, as owner of the rights created by the Easement in gross, <br />and is exclusive and irrevocable (as applicable, the "Holder"). The Easement and related rights <br />granted by Grantor in this agreement are binding on Grantor, its heirs, legal representatives, <br />successors, and assigns, on all future owners of the Easement Property. This Easement and other <br />rights granted by Grantor in this agreement are independent of any lands or estates of interest in <br />lands; there is no other real property benefitting from the Easement granted in this agreement. <br />Provided, however, that Grantor retains the nonexclusive right of access, ingress, and egress over <br />and across the easement property for such purposes as may be desired by Grantor. <br />
