TEXAS OPIOID ABATEMENT FUND COUNCIL AND <br />SETTLEMENT ALLOCATION TERM SHEET <br />WHEREAS, the people of the State of Texas and its communities have been harmed <br />through the National and Statewide epidemic caused by licit and illicit opioid use <br />and distribution within the State of Texas; and now, <br />WHEREAS, the State of Texas, though its elected representatives and counsel, <br />including the Honorable Ken Paxton, Attorney General of the State of Texas, and <br />certain Political Subdivisions, through their elected representatives and counsel, are <br />separately engaged in litigation seeking to hold those entities in the supply chain <br />accountable for the damage caused; and now, <br />WHEREAS, the State of Texas, through its Attorney General and its Political <br />Subdivisions, share a common desire to abate and alleviate the impacts of the <br />epidemic throughout the State of Texas; and now, <br />THEREFORE, the State of Texas and its Political Subdivisions, subject to <br />completing formal documents effectuating the Parties' agreements, enter into this <br />State of Texas and Texas Political Subdivisions' Opioid Abatement Fund Council <br />and Settlement Allocation Term Sheet (Texas Term Sheet) relating to the allocation <br />and use of the proceeds of any Settlements as described. <br />A.
