AGREEMENT FOR CONCRETE DEMOLITION AND CONSTRUCTION STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF LAMAR § This Agreement for Concrete Demolition and Construction (the "Contract") is made and entered into by and between Pridemore Construction, 600 CR 22920, Paris, TX, a limited partnership (hereinafter referred to as "Contractor") and the City of Paris, Texas, a home -rule municipal corporation (hereinafter referred to as "City") to be effective from and after the date herein provided. For and in consideration of the covenants and agreements contained herein, and for the mutual benefits to be obtained hereby, the parties hereto agree as follows: I_L#M-W XetIITA A17,110 The effective date of this Agreement shall be May 1, 2024, and the Agreement shall terminate on April 30, 2025. II. CONTRACT DOCUMENTS That the contract documents which are hereby made a part of this Agreement by actual attachment and are incorporated herein by reference hereto are as follows: Exhibit 1 Notice to Bidders and Request for Bids (containing bid specifications) Exhibit 2 Bid Form and Proposal submitted by Contractor III. THE WORK Contractor shall provide all labor, supervision, materials and equipment necessary for concrete demolition and construction in the City of Paris in accordance with the Notice to Bidders and Request for Bids attached hereto as Exhibit 1, together with the Contractor's Bid Form and Proposal attached hereto as Exhibit 2; provided, however, that in the event of a perceived conflict or ambiguity between the Agreement and the contract documents, the provisions of this Agreement, the Notice to Bidders and Bid Specifications, and Contractor's Bid Form and Proposal shall control, in that order. The approximate value of the services to be provided hereunder is THREE HUNDRED SIXTY- EIGHT THOUSAND FOUR HUNDRED NINETY AND NO/100 DOLLARS ($368,490.00) and shall not exceed that amount unless mutually agreed to by the parties in writing.
