I <br />Item No. 21 <br />TO: City Council <br />CC: Grayson Path, City Manager <br />FROM: Maureen Hammond, Executive Director on behalf of the PEDC Board <br />SUBJECT: Request to Amend PEDC Bylaws Regarding Board Member Term Limits <br />BACKGROUND: <br />Under Section 10.04 Amendments to Bylaws, the Bylaws of the organization may be amended at any <br />time, provided that the amendment is affirmed by vote of four (4) or more directors of the PEDC Board <br />and affirmed by vote of five (5) or more members of City Council. <br />The Paris Economic Development Board of Directors met on March 19, 2024, and unanimously approved <br />an amendment to the Bylaws addressing board member term limits. Pursuant to Section 10.04 of the <br />PEDC Bylaws, we are submitting the attached amended Bylaws for consideration and action to the Paris <br />City Council. <br />STATUS OF ISSUE: <br />Our bylaws currently restrict board members to only two consecutive three (3) year terms. The <br />suggested amendment aims to remove this limitation, permitting board members who have served a full <br />term to qualify for additional term(s), even if those terms are served consecutively. <br />PROPOSED AMENDMENT: <br />The sentence from Section 4.05 Tenure of Article !V that reads "The term of office for each Director <br />shall be three (3) years and shall be limited to two (2) consecutive full terms." shall be amended as <br />follows: "The term of office for each Director shall be three (3) years." <br />RATIONALE: <br />Allowing board members an opportunity to apply for subsequent consecutive terms could be beneficial <br />for the following reasons: <br />1. Continuity and Stability: Allowing experienced board members to continue serving can <br />significantly maintain the continuity and stability of the board's strategic direction and oversight. <br />NNNN=MZZX=SMZMM=1ZMZWM:W= <br />
