In the event of any conflict between this Agreement and <br />any other instrument, document, or agreement by which either Party is bound, the provisions and <br />intent of the Bond Indenture controls. This Agreement may only be amended by written agreement <br />of the Parties. <br />4.12 'y. <br />Sever4bilit, If any provision of this Agreement is held invalid by any court, such <br />holding shall not affect the validity of the remaining provisions. <br />4.13 Non -Waiver, The failure by a Party to insist upon the strict performance of any <br />provision of this Agreement by the other Party, or the failure by a Party to exercise its rights upon <br />a Default by the other Party, shall not constitute a waiver of such Party's right to insist and demand <br />strict compliance by such other Party with the provisions of this Agreement. <br />4.14 Third Part , Beneficiaries, Nothing in this Agreement is intended to or shall be <br />construed to confer upon any person or entity other than the City and the Developer, any rights <br />under or by reason of this Agreement.
