SECOND AMENDMENT OF LEASE AGREEMENT <br />BETWEEN CITY OF PARIS, TEXAS AND <br />RED RIVER VALLEY VETERANS MEMORIAL, INC. <br />This Second Amendment of Lease Agreement is entered into by and between The City of Paris, Texas, <br />a home -rule municipality, whose address is P.O. Box 9037, Paris, Texas 75461 (hereinafter "LESSOR") <br />and Red River Valley Veterans Memorial, Inc., a Texas Non -Profit Corporation, 296 CR 43330, Paris, <br />Texas 75467 (hereinafter "LESSEE"). <br />RECITALS <br />WHEREAS, on February 28, 2011, LESSOR entered into a long term ground lease agreement <br />(the Lease Agreement) with LESSEE covering a 0.9022 acre tract of land out of the Love Civic Center <br />Tract (the Original Premises) to develop the Red River Valley Veterans Memorial to honor U.S. <br />Military Veterans from the Red River Valley. <br />WHEREAS, on September 22, 2014, the Parties executed the First Amendment of Lease <br />Agreement Between the City of Paris, Texas And Red River Valley Veterans Memorial, Inc. which <br />added additional acreage to the Original Premises adjacent to and to the east of the Original Premises for <br />the purpose of expanding the Memorial (the First Amended Premises); and <br />WHEREAS, LESSEE now wishes to lease an additional 0.8 acre tract from LESSOR adjacent to <br />and north of the First Amended Premises and adjacent to and east of the Eiffel Tower for the purposes of <br />constructing an office building, the purpose of which is to house LESSEE's corporate offices and <br />provide meeting space for programs benefitting veterans. <br />WHEREAS, LESSOR and LESSEE hereby agree to amend the Lease Agreement dated February <br />28, 2011 by adding a 0.8 acre tract as described above, thereby expanding the lease premises to a total of <br />2.081 acres (the Second Amended Premises), which Second Amended Premises are more fully <br />described by metes and bounds in the legal description attached hereto as Exhibit A. <br />NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which <br />is hereby acknowledged, the parties agree as follows: <br />SECTION ONE. RECITALS <br />The recitals set forth hereinabove are incorporated herein for all purposes. <br />SECTION TWO. ADDITIONAL PREMISES <br />LESSOR hereby leases to LESSEE and LESSEE accepts from LESSOR that additional 0.8 acre <br />parcel located adjacent to and north of First Amended Premises. The Second Amended Premises created <br />by this Second Amendment to the Original Lease comprises 2.081 acres and is more particularly <br />described in the metes and bounds description attached hereto as Exhibit A.
