i <br />jurisdiction, the remainder of the Contract and the application of the term or condition to other <br />parties or circumstances shall remain valid and in full force and effect. <br />A. DIR may assign the Contract without prior written approval to: i) a successor in interest (another <br />state agency as designated by the Texas Legislature), or ii) as necessary to satisfy a regulatory <br />requirement imposed upon a party by a governing body with the appropriate authority. <br />B. A Customer may assign a Purchase Order issued under the Contract without prior written <br />approval to: i) a successor in interest (another state agency as designated by the Texas <br />Legislature), or ii) as necessary to satisfy a regulatory requirement imposed upon a party by a <br />governing body with the appropriate authority. <br />C. Successful Respondent shall not assign its rights under the Contract or delegate the performance <br />of its duties under the Contract without prior written approval from the DIR. Any attempted <br />assignment in violation of this provision is void and without effect. <br />4.5 Survival <br />All applicable Statements of Work that were entered into between Successful Respondent and a Customer <br />under the terms and conditions of the Contract shall survive the expiration or termination of the Contract. <br />All Purchase Orders issued and accepted by Successful Respondent shall survive expiration or <br />termination of the Contract for the term of the Purchase Order, unless the Customer terminates the <br />Purchase Order sooner. However, regardless of the term of the Purchase Order, no Purchase Order shall <br />survive the expiration or termination of the Contract for more than three (3) years. In all instances of <br />termination or expiration and no later than five (5) days after termination or expiration or upon DIR <br />request, Successful Respondent shall provide a list, in accordance with the format requested by DIR (i.e., <br />Excel, Word, etc.), of all surviving Statements of Work and Purchase Orders to the DIR Contract <br />Manager and shall continue to report sales and pay the DIR Administrative Fees for the duration of all <br />such surviving Statements of Work and Purchase Orders. Rights and obligations under the Contract which <br />by their nature should survive, including, but not limited to the DIR Administrative Fee and any and all <br />payment obligations invoiced prior to the termination or expiration hereof, obligations of confidentiality; <br />and indemnification will remain in effect. <br />The Contract shall be governed by and construed in accordance with the laws of the State of Texas, <br />without regard to the conflicts of law provisions. In any litigation where any state agency is a party, and <br />subject to the requirements of Chapter 2260, Texas Government Code, the exclusive venue of any such <br />suit arising under the Contract is fixed in the state courts of Travis County, Texas. If litigation does not <br />involve any state agency, then venue is fixed in the state courts of the Texas county where the Customer <br />is primarily situated, unless the specific venue is otherwise identified in a statute which directly names or <br />otherwise identifies its applicability to the contracting Agency. Regardless of any provision anywhere in <br />the Contract, no state agency or other Customer in any manner waives any defense or immunity <br />whatsoever. <br />Successful Respondent shall have no authority to act for or on behalf of the Texas Department of <br />Information Resources or the State except as expressly provided for in the Contract; no other authority, <br />Appendix A Standard Contract Terms and Conditions Page 8 <br /><Rev December 2021> <br />
