9.2.4 DIR Administrative Fce <br />A. The DIR Administrative Fee shall be paid by Successful Respondent to DIR to defray the DIR <br />costs of negotiating, executing, and administering the Contract. The maximum administrative fee <br />is set by the Texas Legislature in the biennial General Appropriations Act. DIR will review <br />monthly sales reports, close the sales period, and notify Successful Respondent of the amount of <br />the DIR Administrative Fee no later than the fourteenth (14th) calendar day of the month <br />following the date of the reported sale. Successful Respondent shall pay the amount of the DIR <br />Administrative Fee by the twenty-fifth (25th) calendar day of the second month following the <br />date of the reported sale. For example, Successful Respondent reports January sales no later than <br />February 15th; DIR closes January sales and notifies Successful Respondent of the amount of the <br />DIR Administrative Fee by March 14th; Successful Respondent submits payment of the DIR <br />Administrative Fee for January sales by March 25th. <br />B. DIR may change the amount of the DIR Administrative Fee upon thirty (30) calendar days <br />written notice to Successful Respondent without the need for an amendment to the Contract. <br />C. To preserve the DIR Administrative Fee in place at the time of the sale of product or service, the <br />calculation of the DIR Administrative Fee is based on the Purchase Order date for each sale. <br />D. Successful Respondent shall reference the Contract number, reporting period, and DIR <br />Administrative Fee amount on any remittance instruments. <br />A. Successful Respondent shall submit reports and DIR Administrative Fee payments accurately and <br />timely in accordance with the due dates specified in this Section. Successful Respondent shall <br />correct any inaccurate reports or DIR Administrative Fee payments within three (3) business days <br />upon written notification by DIR. Successful Respondent shall deliver any late reports or late <br />DIR Administrative Fee payments within three (3) business days upon written notification by <br />DIR. If Successful Respondent is unable to correct inaccurate reports or DIR Administrative Fee <br />payments or deliver late reports and DIR Administrative Fee payments within three (3) business <br />days, Successful Respondent shall contact DIR and provide a corrective plan of action, including <br />the timeline for completion of correction. The corrective plan of action shall be subject to DIR <br />approval. <br />B. Should Successful Respondent fail to correct inaccurate reports or cure the delay in timely and <br />accurate delivery of reports and payments within the corrective plan of action timeline, DIR <br />reserves the right at DIR's expense to require an independent third -party audit of Successful <br />Respondent's records as specified in Section 9.3 Records and Audit. DIR will select the auditor <br />(and all payments to auditor will require DIR approval). <br />C. Failure to timely submit three (3) reports or DIR Administrative Fee payments within any rolling <br />twelve (12) month period may, at DIR's discretion, result in the addition of late fees of $100/day <br />for each day the report or payment is due (up to $1000/month) or suspension or termination of <br />Successful Respondent's Contract. <br />Appendix A Standard Contract Terms and Conditions Page 21 <br /><Rev December 2021> <br />
