11.2.4 Termination for Cause <br />11.2.4.1 Contract <br />Either DIR or Successful Respondent may issue a written notice of default to the other upon the <br />occurrence of a material breach of any covenant, certification, representation, warranty, or <br />provision of the Contract, upon the following preconditions: first, the parties must comply with <br />the requirements of Chapter 2260, Texas Government Code in an attempt to resolve a dispute; <br />second, after complying with Chapter 2260, Texas Government Code, and the dispute remains <br />unresolved, then the non -defaulting party shall give the defaulting party thirty (30) calendar days <br />from receipt of notice to cure said default. If the defaulting party fails to cure said default within <br />the timeframe allowed, the non -defaulting party may, at its option and in addition to any other <br />remedies it may have available, cancel and terminate the Contract. Customers purchasing <br />products or services under the Contract have no power to terminate the Contract for default. <br />11.2.4.2 Purchase Order <br />Customer or Successful Respondent may terminate a Purchase Order or other contractual <br />document or relationship upon the occurrence of a material breach of any term or condition: (i) of <br />the Contract, or (ii) included in the Purchase Order or other contractual document or relationship, <br />upon the following preconditions: first, the parties must comply with the requirements of Chapter <br />2260, Texas Government Code, in an attempt to resolve a dispute; second, after complying with <br />Chapter 2260, Texas Government Code, and the dispute remains unresolved, then the non - <br />defaulting party shall give the defaulting party thirty (30) calendar days from receipt of notice to <br />cure said default. If the defaulting party fails to cure said default within the timeframe allowed, <br />the non -defaulting party may, at its option and in addition to any other remedies it may have <br />available, cancel and terminate the Purchase Order. Customer may immediately suspend or <br />terminate a Purchase Order without advance notice in the event Successful Respondent fails to <br />comply with confidentiality, privacy, security requirements, environmental, or safety laws or <br />regulations, if such non-compliance relates or may relate to vendor provision of goods or services <br />to the Customer. <br />11.2.5 Immediate Termination or Suspension <br />DIR may immediately suspend or terminate the Contract without advance notice if DIR receives notice or <br />knowledge of potentially criminal violations by Successful Respondent (whether or not such potential <br />violations directly impact the provision of goods or services under the Contract). In such case, Successful <br />Respondent may be held ineligible to receive further business or payment but may be responsible for <br />winding down or transition expenses incurred by Customer. DIR or Customer will use reasonable efforts <br />to provide notice (to the extent allowed by law) to Successful Respondent within five (5) business days <br />after the suspension or termination. Successful Respondent may provide a response and request an <br />opportunity to present its position. DIR or Customer will review Successful Respondent's presentation <br />but is under no obligation to provide formal response. <br />Appendix A Standard Contract Terms and Conditions Page 35 <br /><Rev December 2021> <br />
