<br />THE STATE OF TEXAS ) <br />} <br />) <br />} <br />COUNTY OF LAMAR } <br /> <br />ASSIGNMENT & AMENDMENT TO EARNEST <br />MONEY CONTRACT - COMMERCIAL <br />UNIMPROVED PROPERTY <br /> <br />THIS 21st day of March, 1994, BOBBY SMALLWOOD and GLENN <br /> <br />TOWNES, as "Buyer" in the contract attached hereto as Ex- <br /> <br />hibit "A" and made a part hereof for all necessary purposes, <br /> <br />and the CITY OF PARIS as "Seller" therein, enter into the <br /> <br />following agreement: <br /> <br />1. The contract attached hereto as Exhibit "A" is <br /> <br />extended until June 1, 1994 under the same terms and condi- <br /> <br />tions as set out therein; other than Seller specifically <br /> <br />agrees that the EPA Phase II Environmental Study required <br /> <br />under Paragraph 10 of the contract shall be made no later <br /> <br />than forty-five (45) days from date hereof and submitted to <br /> <br />Buyer. Should the results of this study indicate any pol- <br /> <br />lution which would affect Buyer's intended use of the pro- <br /> <br />perty or its marketability, or their attempt to obtain a <br /> <br />loan from a lending institution, Buyer shall have the right, <br /> <br />upon written notice to Seller, to terminate this contract; <br /> <br />and Seller will immediately pay over to Buyer the earnest <br /> <br />money provided for in the contract: <br /> <br />2. Seller agrees that Buyer shall have the right to <br /> <br />transfer, assign and convey all their right, title and in- <br /> <br />terest in this contract to TERRY KILGORE and wife, LINDA <br /> <br />KILGORE; and agrees to be bound under the same terms and <br /> <br />1 <br /> <br />EXHIBIT A <br />
