<br />STATE OF TEXAS } <br /> <br /> <br />COUNTY OF LAMAR } <br /> <br /> <br />THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, acting by and <br /> <br />through its Mayor, Eric S. Clifford, duly authorized, hereinafter called CITY, and T. K. Haynes, <br /> <br />KNOW ALL MEN BY THESE PRESENTS: <br /> <br />hereinafter called HAYNES, do hereby contract and agree as follows: <br /> <br />1. That, effective April 4, 1998, and continuing until December 31, 1998, CITY shall pay <br /> <br />HA YNES salary equal to his current grade, step 5, with all fees, allowances, and travel <br /> <br />expenses to continue through December 31, 1998. <br /> <br />2. That HAYNES shall continue to serve as City Attorney until the appointment and <br /> <br /> <br />confirmation by the City Council of the City of Paris of a permanent or interim City <br /> <br /> <br />Attorney, and, thereafter until December 31, 1998. The obligation to pay HAYNES' <br /> <br /> <br />salary through December 31, 1998, shall be an obligation owing to HAYNES' estate, <br /> <br />should he pass away prior to that date. HAYNES shall serve as a consultant with regard <br /> <br />to pending litigation and all legal matters relating to the Housing Authority of the City of <br /> <br />Paris, with legal assistant to be assigned as appropriate, subject to the approval of the City <br /> <br />Attorney. The compensation for serving as consultant shall be at the salary as described <br /> <br />above. <br /> <br />3. At CITY's election, it may continue to utilize HAYNES' services as a fee consultant after <br /> <br />December 31, 1998, with legal assistant to be assigned as appropriate, subject to the <br /> <br />approval of the City Attorney. The compensation for such services shall be at a rate to be <br /> <br />agreed upon between HAYNES and CITY. <br /> <br />4. That CITY shall, on January 1, 1999, make a lump sum payment to HAYNES, at the <br /> <br />hourly rate of pay being received on December 31, 1998, or date of death, if sooner, for <br /> <br />Exhibit A <br /> <br />ro <br />
