May 22, 2008 <br />Page 2 <br />3.3. DiSC evaluations (on-line) will be provided for $60.00 each; and this additional expense <br />will be billed separately. A minimum of 10 profiles and a maximum of 30 profiles are <br />included at this rate. <br />3.4. Copies of any of Consultant's books utilized or purchased will be discounted 20% from <br />retail. <br />4. Emergencies and Cancellation. <br />4.1. In the event of cancellation of this contract by Consultant due to illness or unforeseen <br />emergency, the Client shall have no liability for fees, expenses or losses incurred by <br />Consultant unless the engagement is rescheduled within six (6) months. <br />4.2. In the event Client is unable to conduct the program or project due to acts of God, Client <br />shall have no obligation for payment for services or expenses except such expenses that <br />may have been incurred by Consultant. <br />4.3. In the event Client voluntarily cancels the program or project so that participation by <br />Consultant is not required, Client agrees to pay Consultant Fifty Percent (50%) of the <br />agreed upon fee due in accordance with this agreement, plus expenses incurred by <br />Consultant prior to cancellation. Alternatively Client may reschedule the program <br />within six (6) months and otherwise renew its commitment to Consultant under identical <br />terms. <br />5. Other Provisions. <br />5.1. It is understood that Consultant executes this agreement as an independent contractor <br />and assumes all responsibility for taxes. <br />5.2. Consultant shall have exclusive control over the means, methods and details of fulfilling <br />the obligations herein provided. <br />5.3. This instrument sets forth the entire agreement between Consultant and the Client. This <br />contact shall become effective when accepted and executed by both the Client and <br />Consultant.
