Kent McIlyar <br />4661 Livingston Avenue <br />Dallas, Tx 75209 <br />Dear Mr. McIlyar: <br />As we discussed on the telephone on 1/3/07, the City Attorney position with the City of Paris, <br />Texas, is hereby offered to you in accordance with the following terms, subject to final approval <br />by the Paris, City Council: <br />• Salary in accordance with the City of Paris Pay Plan, Grade Z63, step 4, salary of $90,029 <br />per year. <br />• The City will pay for actual moving expenses with a maximum expense of $8,500. <br />• Full employee benefits as outlined in the City Personnel Policy Book. <br />• The City will provide up to 3 days of administrative leave (paid leave) for you to handle <br />business related to relocation to Paris. <br />• In the event that the City Council terminates your employment as City Attorney for any <br />reason, other than as a result of a conviction for a misdemeanor involving moral turpitude <br />or personal gain, or any felony; the City shall pay to you a lump sum cash payment equal <br />to three (3) months full salary and benefits, plus the cash value of all accrued vacation <br />leave and up to 20 days of sick leave. <br />If your understanding is different from the above mentioned, please let me know immediately. <br />Richard Manning <br />Mayor <br />EXHIBIT A- <br />P.O.
