Reimbursable Expense shall mean the actual expenses incurred directly or indirectly in <br />connection with the Project for transportation, travel, subconsultants, subcontractors, computer <br />usage, telephone, telex, shipping and express, and other incurred expense. ENGINEER will add <br />ten percent (10%) to Reimbursable Expenses to cover supervision, administrative, and insurance <br />expenses. To the extent OWNER is subject to taxation, the amount of any sales taar, excise tax, <br />value added tax (VAT), or gross receipts tax that may be imposed on this Agreement shall be <br />added to the ENGINEER'S compensation as Reimbursable Expenses. <br />SECTION V. PERIOD OF SERVICE <br />Upon receipt of written authorization to proceed, ENGINEER shall perform the Services in a <br />diligent and professional manner and in accordance with any time-frame established in the Scope of <br />Service attached hereto as Exhibit "A". <br />Unless otherwise stated in this Agreement, the rates of compensation for ENGINEER'S services <br />have been agreed to in anticipation of the orderly and continuous progress of the project through <br />completion. If any specified dates for the completion of ENGINEER'S services are exceeded through no <br />fault of the ENGINEER, the time for performance of those services shall be automatically extended for a <br />period which may be reasonably required for their completion. <br />SECTION VI. INDEPENDENT CONTRACTOR <br />ENGINEER covenants and agrees that ENGINEER is an independent contractor and not an <br />officer, agent, servant or employee of CITY; that ENGINEER shall have exclusive control of and <br />exclusive right to control the details of the work performed hereunder and all persons performing same, <br />and shall be responsible for the acts and omissions of its officers, agents, employees, contractors, <br />subcontractors and consultants; that the doctrine of respondeat superior shall not apply as between CITY <br />and ENGINEER, its officers, agents, employees, contractors, subcontractors and consultants, and nothing <br />herein shall be construed as creating a partnership or joint enterprise between CITY and CONTRACTOR. <br />SECTION VII.
