uncontestable discretion of the Member, from current revenues and which may be <br />expended, during the Fiscal Year for which Appropriated, for the purpose <br />expressed in such Appropriation. <br />`Bankrupt" means a Party that: (i) files a petition or otherwise commences, <br />authorizes or acquiesces in the commencement of a proceeding or cause of action <br />under any bankruptcy, insolvency, reorganization or similar law, or has any such <br />petition filed or commenced against it, (ii) makes an assignment or any general <br />arrangement for the benefit of creditors, (iii) otherwise becomes bankrupt or <br />insolvent (however evidenced and regardless of whether the bankruptcy or <br />insolvency is voluntary or involuntary), (iv) has a liquidator, administrator, <br />receiver, trustee, conservator or similar official appointed with respect to it or any <br />substantial portion of its property or assets, or (v) is generally unable to pay its <br />debts as they fall due. <br />"Base Year" means an annual period determined by CAPP as of the Effective <br />Date to be representative of the typical total current Energy requirements of all <br />Participating Members. <br />"Big Brown Facility" means Unit 1 and Unit 2 of the Big Brown generating <br />station located in Freestone County, Texas, with an appropriate cumulative Net <br />Rated Capacity of 1203 megawatts as of the Effective Date. <br />"Bonds" shall mean all contract revenue bonds issued by CAPP for the purpose <br />of prepaying and funding the Capacity Prepayment plus cost of issuance of and <br />reserve funds required to be maintained under such contract revenue bonds, said <br />bonds to be secured by the pledge and assignment by CAPP to a trustee, pursuant <br />to a trust agreement between CAPP and such trustee of the Capacity Prepayment <br />Component of each Participating Member's contract, it being stipulated and <br />agreed that this Contract and each Participant Contract constitutes a contract <br />under Subchapter A of Chapter 271, Local Government Code, State of Texas, as <br />amended, payable from such respective Participating Member's ad valorem taxes <br />within the limits prescribed by law. <br />"Business Day" means any Day except a Saturday, Sunday, or a Federal Reserve <br />Bank holiday. A Business Day shall open at 8:00 a.m. CPT and close at 5:00 p.m. <br />CPT. <br />"Capacity Prepayment" has the meaning set forth in Section 7.1, below. <br />"CAPP" shall mean the Cities Aggregation Power Project, a political subdivision <br />corporation in Texas organized pursuant to Local Government Code Chapter 304 <br />for the purpose of contracting for electric power for Participating Members and <br />for assisting in procurement of REP and QSE services for governmental electric <br />accounts of Participating Members. <br />5 <br />R 0 0 0 (i3~j <br />
