appropriate to the situation, including, but not limited to, agreements to substitute <br />collateral, and agreements to release or partially release liens. The power herein granted <br />to CAPP and its Board of Directors by Member is a power coupled with an interest that <br />may not be revoked while all or any portion of the Bonds is unpaid. <br />10.2 Collateral Assignment of the Contract to Trustee for Bonds. This Contract <br />and the Participant Contracts shall be collaterally assigned to the Trustee under the Bonds <br />as security for the repayment of the Bonds to the extent of the Capacity Payment payable <br />pursuant to Article 7 of this Contract and each of Participant Contracts. <br />ARTICLE 11 <br />DEFAULT <br />11.1 Defaults by Facility Owners; Defaults by Participating Members. In the event <br />of default by Facility Owners under the PPA, or in the event of a default by Member or <br />by a Participating Member under a Participant Contract, the Parties agree and stipulate <br />that decisions as to the exercise or non-exercise of remedies upon such default shall be <br />solely vested in CAPP, as its Board of Directors may determine from time to time. <br />Member acknowledges that CAPP's rights to elect remedies may be subject and <br />subordinate to rights granted to or reserved by the holders and owners of the Bonds or the <br />Trustee thereof. <br />11.2 Default by CAPP. Except as otherwise excused under this Contract, the <br />occurrence of any of the following shall constitute an event of default by CAPP: <br />(a) Failure of CAPP to pay the Capacity Prepayment as required under <br />the PPA; <br />(b) Failure by CAPP to timely perform its covenants under the Bonds, <br />including payments required by it, unless such failure is caused by the failure of <br />Member under this Contract or of one or more Participating Members under the <br />Participant Contracts to pay CAPP sums required under Article 6; or <br />(c) CAPP breaches any material contractual obligation under this <br />Contract and such breach continues for a period of thirty (30) Days after the date <br />on which written notice thereof is received from Member by CAPP. <br />11.3 Default by Member. Except as otherwise excused under this Contract, the <br />occurrence of any of the following shall constitute an event of default by Member: <br />(a) Member fails to accept delivery of the Products, or any portion <br />thereof from CAPP. In the event of such failure, CAPP may, in addition to other <br />remedies available to it under this Contract, provide the unaccepted Products to <br />another Participating Member or, if no Participating Member elects to accept such <br />27 <br />~ 0 Oi'05~ <br />
