<br />COOPERATIVE AGREEMENT NO. ATC010161 <br /> <br />12. STOP WORK <br /> <br />A. The CAO or his designee may issue, and the LOCAL <br />GOVERNMENT will accept, a written order to hold or Stop <br />Work on the G.R.E.A.T. Program funded under this <br />agreement for a period of up to 30 days. Such orders <br />will be issued only for sufficient cause, such as reason <br />to believe work is being performed outside of the terms <br />of the agreement, for financial improprieties found <br />during a monitoring inspection or voucher and records <br />review, or a change in relevant laws or regulations. <br /> <br />B. A Stop Work Order may be continued, canceled or <br />reissued as termination. <br /> <br />C. The LOCAL GOVERNMENT is responsible for any costs <br />incurred after the issuance of a Stop Work Order <br />unless such work, material, equipment or services <br />were purchased prior to the issuance of the Stop <br />kork Order and delivery cannot be canceled. <br /> <br />13. TERMiNATION <br /> <br />A. The Government may terminate performance of work <br />under this agreement in whole, or in part, if the CAO <br />determines that a termination is in the Government's <br />interest. The CAO shall terminate by delivering to the <br />LOCAL GOVERNMENT a Notice of Termination specifying the <br />extent of termination and the effective date. <br /> <br />(1) After receipt of a Notice of Termination and except <br />as directed by the CAO, the LOCAL GOVERNMENT shall <br />immediately proceed with the following obligations: <br /> <br />(a) Stop work as specified in the notice. <br /> <br />(b) Place no further orders, except as necessary to <br />complete the continued portion of the <br />agreement. <br /> <br />Page 19 of 24 <br />
