<br />BYLAWS <br /> <br />OF <br /> <br />CITIES AGGREGATION <br />POWER PROJECT, INC. <br /> <br />ARTICLE I. Name and Purpose <br /> <br />1.1 Name. This corporation shall be known as Cities Aggregation Power Project, Inc. <br /> <br />1.2 Purpose. The corporation has been organized for any and all lawful business for which <br /> <br />corporations may be organized under the Texas Non Profit Corporations Act, for the <br /> <br />purposes of purchasing electricity, aiding or acting on behalf of its Members with respect <br /> <br />to their own electricity use for their respective public facilities and that of their citizens, <br /> <br />negotiating on behalf of its Members for the purchase of electricity, making contracts for <br /> <br />the purchase of electricity, and taking any other actions necessary to purchase electricity <br /> <br />for use in the public facilities of the political subdivision or subdivisions represented by <br /> <br />the corporation, for the purposes of acting as a local cooperative organization to purchase <br /> <br />goods and services for its members, and for all other purposes as may be permitted by <br /> <br />law for political subdivision corporations. <br /> <br />EXHIBIT B <br />
