DRAFT <br />attorney\reswork\current\MJC Water Service Contr Res 2009 <br />RESOLUTIOIV 1V0. <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS, <br />APPROVING AND ACCEPTING THE TERMS AND CONDITIONS OF A <br />WATER SERVICE CONTRACT BY AND BETWEEN THE CITY OF PARIS AND <br />MARVIN-JENNING-CLARDY WATER CORPORATION FOR THE SALE OF <br />POTABLE WATER; AUTHORIZING ITS EXECUTION BY THE CITY <br />MANAGER; MAKING OTHER FINDIIVGS AND PROVISIOIVS RELATED TO <br />THE SUBJECT; A1VD PROVIDIIVG AN EFFECTIVE DATE. <br />WHEREAS, the City of Paris has been since 1990 furnishing water to Marvin- <br />Jennings-Clardy Water Corporation (MJC) under the terms of a Water Service Contract; <br />and, <br />WHEREAS, the Water Service Contract with MJC has expired and the City Council of <br />the City of Paris did heretofore authorize the negotiation of a new Water Service Contract <br />between the City of Paris and JMC; and, <br />WHEREAS, upon full review and consideration of the Agreement, and all matters <br />attendant and related thereto, the City Council is of the opinion that the terms and <br />conditions thereof should be approved, and that the City Manager, shall be authorized to <br />execute it on behalf of the City of Paris. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF <br />PARIS, TEXAS, THAT: <br />Section 1. The findings set out in the preamble to this resolution are hereby in all <br />things approved. <br />Section 2. The terms and conditions of the Agreement, having been reviewed by the <br />City Council of the City of Paris and found to be acceptable and in the best inerests of the <br />City of Paris and its citizens, are hereby in all things approved. <br />Section 3. The City Manager, is hereby authorized to execute the Agreement and all <br />other documents in connection therewith on behalf of the Ciry of Paris, substantially <br />according to the terms and conditions set forth in the Agreement attached hereto as Exhibit <br />«A» <br />Section 4. This resolution shall become effective immediately upon its passage. <br />
