No waiver of the either party's rights under this Agreement shall be deemed to <br />have been made unless expressed in writing and signed by an authorized <br />representative of that Party. <br />This Agreement may not be amended, supplemented or otherwise modified <br />unless done so in a writing and signed by the Parties, an no provision hereof <br />shall be deemed waived unless such waiver is in writing and signed by the <br />waiving party. <br />The effective date of this Agreement is the last date affixed opposite the <br />parties' signatures below. <br />D.
