LEASE AGREEMENT THE STATE OF TEXAS COUNTY OF LAMAR THIS LEASE AGREEMENT, to be effective the ls' day of September, 2011, between the RED RIVER VALLEY FAIR ASSOCIATION of Lamar County, Texas, hereinafter called "Lessor", and the PARIS NOON FOUNDERS LIONS CLUB, of Paris, Lamar County, Texas, hereinafter called "Lessee", WITNESSETH: Lessor does hereby lease, let and demise unto Lessee, and Lessee does hereby accept all that certain property described as the entire booth area on the East front of the Coliseum at the Fair Grounds, Paris, Lamar county, Texas, and a convenient spot at the side of the Coliseum for an ice truck to be parked, said premises containing approximately 2,000 square feet ("Leased Premises"); To have and to hold for a term of TEN (10) years beginning on the 1 S` day of September, 2011 and concluding on August 31, 2021. The consideration for said ten-year lease being an annual rental of THREE HUNDRED AND NO/100 ($300.00) per year, payable by LESSEE annually on or before September 1 st each year. Lessor shall provide electricity and gas to Lessee on a separate meter with said usage being paid by Lessee within thirty (30) days of receipt of invoice. Lessor shall furnish water as necessary for use by Lessee. Lessee shall have the exclusive right to sublease all of the booth area on the East side of the Coliseum and to use the Leased Premises for any event or function during the term of the Lease at its discretion, subject to the terms of this Lease Agreement and the Red River Valley Fair Association Lease Agreement with the City of Paris, Texas. Provided, however, if Lessee should elect not to participate in any event at the Fair Grounds then the RED RIVER VALLEY FAIR ASSOCIATION BOARD may sublease Leased Premises to another entity or group for the duration of that event. LESSEE hereby further agrees to release, indemnify and hold LESSOR and the City of Paris, Texas it's elected officials, officers and employees harmless from and against any and all claims, damages or injuries (including death) losses, demands, suits, judgments and costs, including attorney's fees which arise from LESSEE'S use of the Leased Premises, LESSEE shall be responsible for providing proof of necessary Commercial Liability Insurance in support of this release and indemnification clause. ~I EXHIBIT
