<br />10. LICENSE AND TAXES: Contractor shall obtain all licenses and permits <br />required by the City and the State. Contractor has sole responsibility to invoice <br />appropriate City, County and State taxes from commercial customers billed by <br />Contractor. Contractor agrees to file and promptly pay all such local taxes collected with <br />the State Comptroller's office and will be designated as being collected in the City. City <br />has the sole responsibility for City, County and State taxes, if any, for residential <br />accounts. <br /> <br />Documentation will be furnished upon request of City that such forms have been <br />filed. <br /> <br />II. RESIDENTIAL BILLING: City shall provide billing and collection services for <br />Customers during the term of this Agreement. City shall on or before the 15th day of <br />each month remit payment to the Contractor for all services rendered by Contractor <br />during the preceding month at the rate specified in Section 5 hereof, as adjusted from <br />time to time as set forth herein, as well as for any charges or amounts owed for any <br />special services provided by Contractor. <br /> <br />12. COMPLIANCE WITH LAWS: Contractor, its officers, agents, employees, <br />contractors, and subcontractors, shall abide by and comply with all existing laws and <br />laws which may be enacted by the federal, state, and local governments. It is expressly <br />agreed that nothing in this Agreement shall be construed in any manner to abridge the <br />right of City to pass or enforce necessary police and health regulations for the protection <br />of its inhabitants. It is further agreed and understood that, if the City calls the attention of <br />Contractor to any such violations on the part of the Contractor, its officers, agents, <br />employees, contractors, or subcontractors, then Contractor shall immediately desist from <br />and correct such violations. <br /> <br />13. OFFICE: Contractor shall provide a local telephone listing under the name <br />of the Contractor to handle all inquiries or complaints with regard to waste materials <br />collection within the City. <br /> <br />14. RULES AND REGULATIONS: The service fumished hereunder to City and <br />its inhabitants shall be subject to such reasonable rules and regulations as the Contractor <br />may make from time to time, subject to the reasonable approval of the Paris City <br />Council. <br /> <br />15. TRANSFERABILITY OF AGREEMENT: Other than by operation oflaw, no <br />assignment, transfer, or subcontracting of this Agreement or any right, obligation, duty, <br />or responsibility accruing under this Agreement shall be made in whole or in part by the <br />Contractor without the express written consent of the City. Upon any assignment, the <br />assignee shall assume the liability of the Contractor. Notwithstanding the foregoing, City <br />agrees that it will not unreasonably withhold consent to an assignment by Contractor to <br />any company owned, affiliated, controlled by or under common control with Contractor <br />or its parent corporation, Waste Management, Inc., provided that after such assignment, <br /> <br />SOLID WASTE AGREEMENT <br /> <br />Page II <br />
