Page 6 <br />8. Compensation. The City agrees to pay the Contractor the total sum <br />of $10,500.00 for the services. <br />9. Method of Pavment. The City will pay the Contractor 1/3 of the total <br />sum upon completion of physical evaluation of the Downtown Area; 1/3 of the <br />total sum upon submittal of completed Study; 1/3 of the total sum upon <br />acceptance of the Study. The total sum of $10,500.00 paid to the Contractor <br />shall constitute full and complete compensation for services rendered. <br />It is expressly understood and agreed that in no event will the total <br />compensation and reimbursement, if any, to be paid hereunder exceed the max- <br />imum of $10,500.00. <br />10. Termination of Contract for Cause. If, through any cause, the Con- <br />tractor shall fail to fulfill in a timely and proper manner its obligations <br />under this Contract, or if the Contractor shall violate any of the covenants, <br />agreements, or stipulations of this Contract, the City shall thereupon have <br />the right to terminate this Contract by giving written notice to the Contractor <br />of such termination, specifying the effective date thereof, at least 5 days <br />before the effective date of such termination. In that event, all finished <br />or unfinished documents, and other materials described in paragragh 4 above, <br />prepared by the Contractor under this Contract shall, at the option of the . <br />City, become its property, and the Contractor shall be entitled to receive <br />just and equitable compensation for any satisfactory work completed on such <br />documents and other materials. <br />Notwithstanding the above, the Contractor shall not be relieved of <br />liability to the City for damages sustained by the City by virtue of any <br />breach of the Contract by the Contractor, and the City may withhold any pay- <br />ments to the Contractor for the purpose of setoff until such time as the <br />exact amount of damages due the City from the Contractor is determined. <br />11. Termination for Convenience of City. The City may terminate this <br />Contract at any time by giving notice to the Contractor of such termination <br />and specifying the effective date thereof, at least 15 days before the effect- <br />ive date of such termination. In that event, all finished or unfinished <br />documents and other materials as described in Paragraph 4 above shall, at <br />the option of the City, become its property.
