Paris Economic Development Corporation Meeting Minutes December 10, 2012 Board Members Present: Doug Wehrman, Chairman Kenny Dority, Vice-Chairman Toni Clem, Secretary/Treasurer Bruce Carr Bi11 Harris Staff Present: Steve Gilbert, PEDC, Exec. Dir. Shannon Barrentine, PEDC Ex-Officio Members Guest(s) Present: Melissa Cook, Chamber President Present: None John Godwin, City Manager Lamar County Judge Chuck Superville (Joined at 12:09 p.m.) Legal Counsel: Kent McIlyar City Council Liaison: Matt Frierson Doug Wehrman, Chair�nan, established that a quorum was present and called the meeting to order at 3:05 p.m. Minutes from November 13, 2012, Regular Board meeting and December 3, 2012 Called Board meeting were reviewed. Bill Harris made a motion that the Minutes of the November 13, 2012 and December 3, 2012 meetings be approved as submitted; seconded by Kenny Dority. Motion Carried 5-0. Financials for October, 2012 were reviewed. Toni Clem made a motion to approve the Financials, as submitted; seconded by Bill Harris. Motion Carried 5-0. Steve Gilbert told those present that a calendar was provided with appoinnnents through the last quarter of 2012, additional articles of interest were provided, but that the majority of the Director's Report would be covered in Executive Session. The Board convened into executive session at 3:10 p.m. pursuant to Section SSl .071, Section 551.072, 551.074 and Section 551.087 of the Texas Government Code to discuss and deliberate on the following: A. Section 551.071 — Consultation with Attorney B. Section 551.072 - Real Property C. Section 551.074 — Personnel Matters D. Section 551.087 — Economic Development Negotiations Note: Kenny Dority left the meeting around 4:45 p.m. The Board re-convened into open session at 5:02 p.m. There was no action as a result of executive session discussion.
