PARIS ECONOMIC DEVELOPMENT CORPORATION 1125 Bonham Street Community Room Paris, Texas Tuesday, August 13, 2013 3:00 O'CLOCK PM A G E N D A 1) Call meeting to order — Rebecca Clifford, Chair 2) Approval of minutes from the July 16, 2013 regular meeting. 3) Approval of [July 2013] financials 4) Items from Chairman: • Update on R3bi funding status. 5) Director's Report. 6) New Business: a) Discuss and take action regarding the Proposed Paris EDC Fiscal year 2013 -14 Budget, as amended by the Paris City Council at its July 8, 2013 meeting. b) Discuss and take action to appoint a committee to review and update operating policies and procedures for the PEDC. c) Discuss and take action to appoint a committee to review the PEDC operating budget for potential additional expense reductions and to revise the chart of accounts. d) Discuss and take action on proposed changes to existing Paris EDC Bylaws to reflect city council annual appointment dates, residency requirements and vacancy /resignation/end of term for Board members, etc. e) Discuss pros and cons of a Type A vs. Type B Sales Tax Corporation. f) Status of proposed revision(s) to the current Tax Abatement Criteria as instructed by the Paris City Council at its June 24, 2013 meeting. g) Convene into Executive Session: 1. Pursuant to Section 551.071 of the Texas Government Code, Consultation with Attorney, to receive legal advice from legal counsel about pending or contemplated litigation and/or on matters in which the duty of an attorney to his client under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas, clearly conflict with this chapter. 2. Pursuant to Section 551.072 of the Texas Government Code to discuss and deliberate the purchase, exchange, lease, or value of real property. 3. Pursuant to Section 551.087 of the Texas Government Code to discuss or deliberate: 1) commercial or financial information that the governmental body has received from a business prospect that the governmental body seeks to have locate, stay or expand in or near the territory of the governmental body and with which the governmental body is conducting economic development negotiations; or 2) to deliberate the offer of a financial or other incentive to a business prospect.
