Models of the Maker <br /> <br />5.06 Secretary: The Secretary shall keep the minutes of the Board meetings; give notices in <br />accordance with the provisions of these Bylaws or as required by statute; and be custodian of <br />the corporate records and the seal of the corporation. These duties can be in whole or part, <br />delegated with the consent of the Board of Directors. <br /> <br />5.07 Treasurer: The Treasurer shall have charge and control of and be responsible for all funds <br />and securities of the corporation; receive and give receipts for monies due and payable to the <br />corporation from any source whatsoever, and deposit all such monies in the name of the <br />corporation in such banks or other depositories as shall be selected in accordance with the <br />provisions of Article VI of these Bylaws; and in general, perform all duties as may from time to <br />time be assigned by the Chairman or the Board of Directors. These duties may be, in whole or <br />part, delegated to the Executive Director by the Chairman or the Board. In the event that the <br />duty of writing checks is delegated to the Executive Director, the Secretary of MODELS OF THE <br />MAKER, Inc. (or another person if it is so deleted) shall make out the checks, with invoice, <br />which the Executive Director shall then sign. <br /> <br /> Article VI-Contracts, Checks, Deposits and Funds <br /> <br /> 6.01 Contracts: The Board of Directors may authorize any officer or officers, agent or agents of <br /> the corporation, in addition to the officers so authorized by these Bylaws, to enter into any <br /> contract or executive and deliver any instrument in the name of and on behalf of the corporation. <br /> Such authority may be general or confined to specific instances. <br /> <br /> 6.02 Checks and Drafts: All checks, drafts, or orders for the payment of money, notes or other <br /> evidence of indebtedness issued in the name of the corporation shall be signed by such officers <br /> or agents of the corporation and in such manner as shall from time to time be determined by <br /> resolution of the Board of Directors. <br /> 6.03 Deposits: Alt funds of the corporation shall be deposited from time to time to the credit of <br /> the corporation in such banks or other depositories as the Board of Directors may select. <br /> 6.04 Gifts: The Board of Directors may accept on behalf of the corporation any contribution, gift <br /> or be'quest for the general purposes or for any special purpose of the corporation. <br /> <br /> Article VII-Books and Records <br /> <br /> 7.01 The corporation shall keep correct and complete books and records of account and shall <br /> also keep minutes of the proceedings of the Board of Directors. All books and records of <br /> the corporation may be inspected by any Director or his agent or attorney or by any other <br /> person having legitimate reason for any proper purpose at any reasonable time. <br /> <br /> Article VIII-Fiscal Year <br /> <br /> 8.01 The fiscal Year of the Corporation shall begin on the first day of January and end on the <br /> last day of December in each year. <br /> <br /> 4of5 <br /> <br /> <br />
