STATE OF TEXAS § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF LAMAR § PROFESSIONAL SERVICES CONTRACT Agreement made this 1 st day of August~ 2000 between the City of Paris, Paris, Texas, hereafter referred to as The Client, and The Waters Consulting Group, Inc., .hereafter referred to as WCG. Recitals The Client has its principal place of business at its City Hall Building, 135 1~t Street SE~, Paris, Texas 75460. WCG has its principal place of business at 2695 Villa Creek Drive, Suite 104, Dallas, TX 75234. WCG provides professional services to clients across the nation in the field of wage and salary system development, performance management, and other related human resource areas; therefore, The Client hereby engages the services of WCG, and in consideration of the promises herein contained, both parties agree to the following: Professional Services 1. WCG will provide professional services in the areas of personnel management consulting services engaged to complete a comprehensive compensation study for The Client in accordance with a proposal submitted by WCG dated July 7, 2000, and incorporated herein as Exhibit A for all purposes. Provided, however, that in the event of a conflict between the terms of this agreement and of the proposal (Exhibit A), this agreement shall control. The fees for and the respective categories of service contracted herein are described as follows: Description of Services Professional Fees Audit/Review of Existing Systems $1,500.00 Project Planning and Administration $2,700.00 Project Communication via phone $2,000.00 Job Evaluation (based on current JDs or JDQs) $2,300.00 Salary Survey Data Collection and Analysis for non key management $2,000.00 members Salary Survey Data Collection and Analysis for key management $1,300.001 members Salary Structure Development (for all positions) $3,700.00 Final Report and Recommendation Report $2,800.00 Total Professional Fees/Hours $18,300.00. Onsite meetings during the project at the request of the Ci0, will be billed at an hourly rate of $150/hour for tneetin$ tinte and $85/hour for travel time.
