<br />THAT, WE, THE UNDERSIGNED, C. V. FLANARY JR. ANI) WIFE, MAGALENE
<br />FLANARY, hereinafter referred to as "Grantor", whether one or more, for and in consideration of
<br />-=- the sum ofTEN DOLLARS ($10.00) cash, and other good and valuable oonsideration in hand paid
<br />by the Grantee herein named, the receipt and sufficiency of which is hereby fully acknowledged and
<br />confessed, have GRANTED, SOLD and CONVEYED, and by these presents does hereby GRANT,
<br />SELL and CONVEY unto WALNUT CREEK BUSINESS PARK, INc., herein referred to as
<br />"Grantee", the real property located in Lamar County, Texas, and being described as follows:

<br />Being a 'part of the REDDIN RUSSELL Survey, and being part of the City of Paris
<br />fully described on Exhibit A attached;
<br />
<br />This conveyance, however, is made and accepted subject to the following: 1. Utility
<br />Easement from C. V. Flanmy to the City of Paris dated November 28, 1972, of record in Book 542,
<br />Page 805, Lamar County Deed Records. 2. Existing Gas District Main across the above tract as
<br />shown a prior survey of the property, but unrecorded. 3. Water, Sewer etc., Easement reserved
<br />by C. V. Flanary, Jr. mid wife, Magalene Flanary in deed dated October 14, 1985, to Walnut Creek
<br />Business Park, Inc., of recorded in Book 690, Page 630, Lamar County Deed Records.

<br />TO I-lAVE AND TO HOLD the above described premises, together with all and singular the
<br />rights and appurtenances thereto in anywise belonging unto the said Grantee, Grantee's successors
<br />and/or assigns forever; and Grantor does hereby bind Grantor, Grantor's heirs, executors,
<br />administrators, successors and/or assigns to WARRANT AND FOREVER DEFEND all and singular
<br />the said premises unto the said Grantee, Grantee's successors and/or assigns, against every person
<br />whomsoever claiming or to claim the same or any part thereof, by through or under the grantor
<br />herein.
