The Company shall provide to the City a local or toll -free telephone number that <br />is manned twenty -four (24) hours a day, seven (7) days a week to provide available information <br />relating to emergency situations. The City understands that this telephone number is not <br />equipped to handle calls from the public, and the City will not provide this number to customers, <br />but will direct them to the Company's Call Center. If the Company cannot timely respond to an <br />emergency with Company employees, the Company will attempt to respond to the emergency <br />with qualified local contractors. The Company's contact information shall be kept current at all <br />times. The Company and the City shall periodically, and upon request by either party, meet to <br />discuss and address emergency response issues, in order to rectify any problems identified by <br />either party. <br />SECTION 17. SUCCESSORS AND ASSIGNS. <br />The rights granted by this Franchise inure to the benefit of the company and any parent, <br />subsidiary, affiliate, or successor entity now or hereafter existing. <br />SECTION 18. RENEGOTIATION. <br />If either City or Company requests renegotiation of any term of this Ordinance, Company <br />and City agree to renegotiate in good faith revisions to any and all terms of this Ordinance. If the <br />parties cannot come to agreement upon any provisions being renegotiated, then the existing <br />provisions of this Ordinance will continue in effect for the remaining term of the Franchise. <br />Page 17 <br />4340964.4 <br />
