<br />RLSOLUTION AUTHORIZING EXECUTION OF BOND PURCHASE CONTRACT
<br />THE STATE OF TEXAS
<br />COUNTY OF LAIAR
<br />CITY OF PARIS
<br />WHEREAS, the City has concurrently herewith authorized
<br />the issuance of its Waterworks and Sewer System Revenue
<br />Refunding Bonds, Series 1983, in the principal amount of
<br />$3,110,000 (the "Bonds ") for the purpose of refunding City
<br />of Paris, Texas Waterworks and Sewer Revenue Refunding
<br />Bonds, Series 1957, dated January 1, 1957 in the amount of
<br />I $305,000, City of Paris, Texas Waterworks and Sewer System
<br />Revenue Bonds, Series 1957 -A, dated August 1, 1957 in the
<br />amount of $185,000, City of Paris, Texas Waterworks and
<br />Sewer System Revenue Bonds, Series 1962, dated October 1,
<br />1962 in the amount of $130,000, City of Paris, Texas
<br />Waterworks and Sewer System Revenue Bonds, Series 1973 -A,
<br />dated January 1, 1973 in the amount of $145,000, City of
<br />Paris, Texas Waterworks and Sewer System Revenue Bonds,
<br />Series 1973 -B, dated January 1, 1973 in the amount of
<br />$220,000, City of Paris, Texas Waterworks and Sewer System
<br />`` Junior Lien Revenue Bonds, Series 1966, dated January 10,
<br />I; 1966 in the amount of $1,800,000 and City of Paris, Texas
<br />Certificates of Obligation, Series 1981, dated April 15,
<br />1981 in the amount of $605,000 (the "Refunded Bonds "); and
<br />WHEREAS, the City has determined that it is in the best
<br />interest of the City to enter into a Bond Purchase Contract
<br />I' with respect to the offer and sale of the above referenced
<br />Bonds.

<br />j THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
<br />i;
<br />THE CITY OF PARIS:
<br />Section 1. The Mavor of the City is hereby authorized
<br />and directed to execute and deliver and the City Clerk of
<br />j, the City is hereby authorized and directed to attest the
<br />Bond Purchase Contract relating to the Bonds between
<br />Rauscher Pierce Refsnes, Inc. and the City, a copy of which
<br />is attached hereto as Exhibit A.
<br />Section 2. That the Resolution shall become effective
<br />upon its passage.
<br />Section 3. That it is hereby officially found and
<br />determined: that a case of emergency or urgent public
<br />necessity exists which requires the holding of the meeting
<br />at which this Resolution is passed, such emergency or urgent
<br />public necessity being that the proceeds from the sale of
<br />the proposed bonds are required as soon as possible and
<br />without delay for necessary and urgently needed public
<br />improvements; and that said meeting was open to the public,
<br />and public notice of the time, place, and purpose of said
<br />meeting was given, all as required by Vernon's Ann. Civ. St.
<br />art. 6252 -17, as amended.
