09/24/2013 MINUTES(Paris — Lamar County Yfeafth Department 400 West Sherman Street TE�F Paris, Texas 75460 L110 Voice: 903 - 785 -4561 www.parislamorhealth.com *• Minutes of Special Meeting Paris - Lamar County Board of Health The Paris - Lamar County Board of Health held a special meeting at 5:30 p.m. on Tuesday, September 24, 2013, at the Paris - Lamar County Health Department. Board members in attendance were Dr. Rick Erickson, Dr. Keith House, Dr. Mark Gibbons, Dr. William George, and Mr. William Collins. Not in attendance were Dr. Lav Singh and Mrs. Kristi Head. Others in attendance were Mrs. Gina Prestridge and Ms. Cheryl Johnson. Meeting was called to order at 5:32 p.m. by Dr. Erickson. Mr. Collins made the motion and was seconded by Dr. Gibbons that minutes from the August 6th, 2013 meeting be approved. Mrs. Prestridge, Executive Director, updated the board that she received an email from John Godwin, City Manager, on August 29th, 2013, stating that Paris -Lamar County Health Department and WIC employees are not City of Paris employees (see attachment). Mrs. Prestridge took the 85 page City of Paris Policies and Procedures Manual and made some changes by deleting the civil service section, changed City of Paris to Paris -Lamar County Health Department or the Board or Executive Director (where applicable) . Dr. Erickson will review and make changes and will bring back to the board to review, change, and /or approve. In the absence of the inter -local agreement, we will have to pay for a CPA, external audit, legal advice, HR help, finance department and anything that the City currently does. Original Interlocal agreement stated that City and County will each fund 50% of monies needed to cover shortfall, but then there has been a revised copy that remove or changed that verbiage. Mr. Collins stated that the original verbiage needs to be left in the interlocal agreement. Dr. Erickson is planning on taking the interlocal agreement to the City and the County for discussion after the budget approval process has been completed within the next few weeks. A copy of the interlocal agreement was passed out to the board members to review (see attachment # 2). Dr. Erickson provided Judge Superville and Dr. Hashmi a copy of the interlocal agreement to review and mark changes, and got no response. Dr. Erickson will give Judge Superville and Dr. Hashmi a copy of the interlocal agreement, then set up a face -to -face meeting to discuss the agreement and changes. Gina said the main things that will affect the employees will be the insurance, retirement and switch over to a possible non - matched retirement contributions and higher insurance premiums. We will have to apply and establish our own 501 -C3. It will take a while to get all this information and we need to complete before the next year's budget is approved. The City of Paris considers us a liability and a headache since we are on their insurance, and on their payroll. The County does not have that liability since we are not on their insurance. Currently, the City of Paris appoints the board members, but they should alternate. The interlocal agreement will give the Board Members the authority to run the Paris -Lamar County Health Department. Mrs. Prestridge is going to get some quotes on health insurance and retirement. An outside audit may cost $10,000.00. Mrs. Prestridge will collect some figures for the amount it may cost the City and County if we go out on our own. Dr. Erickson stated that if you have less than 50 employees then you are not required to provide insurance and it might be cheaper to go to the open market and give the employees the extra money that you would pay for insurance and add to their salary or as a stipend and let them select their own insurance coverage. City currently pay approximately $450.00 per month for the employee insurance and the employee must pay the full premium for any spouse or children. Dr. Erickson asked all members to review the interlocal agreement and mark any changes before the next meeting and Dr. Erickson will deliver a copy to Judge Superville and Dr. Hashmi so the board members can review at next meeting. Mrs. Prestridge advised we are currently accepting private insurance, Primary Health Care, County Indigent Health Care, but Medicaid is a lot harder and we are going to see if it is worth paying someone to file the claims for reimbursement. Paris - Lamar County Health Department by —laws have been adopted and the State Auditors looked at them and we will bet a formal report in two weeks. The next meeting will be on the 15th of October, 2013 at 5:30 p.m. at the Paris - Lamar County Health Department and then the next meeting will be November 19tH Dr. Erickson made the motion and was seconded by Dr. House for the meeting to be adjourned at 6:06 p.m. Respectfully submitted by: &W* Z), fekw," Cheryl D.
