MINUTES OF THE PARIS ECONOMIC DEVELOPMENT CORPORATION
REGULAR METING
December 10, 1997
The Paris Economic Development Corporation met in their regular meeting on
Wednesday, December 10, 1997, at 4:00 P.M., in the City Hall North Annex,
Meeting Room, Paris, Texas. President Curtis Fendley called the meeting to
order with the following boardmembers present: Dick Amis, Michael Rhodes,
Leon Williams, and Barney Bray. Also present at this meeting were ex-officio
boardmembers, Ike Jewett, Bobby Walters, Sims Norment, Executive Director
Gary Vest, Michael Malone, City Manager, and City Attorney T. K. Haynes.
President Fendley stated that the next item on the agenda was approval of the
minutes from the previous meeting of the Paris Economic Development
Corporation. He asked if there were any corrections or additions to the minutes
of the previous meeting and Gary Vest stated that in the Director's Report that
Rick Porter's last name is Poston. President Fendley stated if there were no
other corrections to these then the minutes stood approved as corrected.

President Fendley asked Mr. Gene Anderson, Director of Finance, to give the
financial report. Mr. Anderson gave the November report. Mr. Fendley called for
questions and there were none. Boardmember Michael Rhodes made a motion,
seconded by Boardmember Dick Amis that the report be approved as presented.
The motion carried unanimously.
President Fendley stated that there would not be a President's Report given at
this time.
President Fendley asked Mr. Vest to make his report. Mr. Vest discussed the
responses received since the last meeting, and stated that the contract signing
had taken place on the Green Carpet Memorial Route. Mr. Vest also discussed
some of the things that are currently taking place in connection with local
industries.
President Fendley stated that the next item on the agenda was the authorization
for the General Labor Market Assessment which had been discussed in previous
meetings. He asked Mr. Vest to discuss this item. Mr. Vest stated that
Commerce, Sulphur Springs and Paris were taking part in this assessment, and
he said that T.U. Electric has given the participating group of cities a grant in the
amount of $3,000.00 because they believe that this will help in marketing the
participating communities. He said that this grant was $1,000.00 for each
participating community.
City Attorney T.K. Haynes read the resolution.
Resolution No. 97-009, authorizing the procurement of the services of the
Economic Development Services Company for the purpose of conducting a
General Labor Market Assessment and a Wage Benefit Study.
RESOLUTION NO. 97-009
WHEREAS, tile Paris Economic Development Corporation (PEDC) is a non-profit
corporation governed by the Development Corporation Act of 1979, and was established for the
purpose of promoting, assisting, and enhancing economic development; and,
WHEREAS, the promotion and development of new business enterprises is deemed to
benefit the public welfare, as the same results in the maintenance of a higher level of employment,
economic activity, and stability; and,
WHEREAS, in order to be fully aware of the structure, capabilities, and needs of Paris,
to recognize the areas of potential workforce development that will increase the opportunities to
entice new industries, and to understand which industries are best suited for the available labor
force in Paris, it is deemed appropriate that the PEDC procure the services of the Economic
Development Services Company to study the same and provide a General Labor Market
Assessment; and,
WHEREAS, in addition to said study, it is deemed appropriate that the PEDC employ the
Economic Development Services Company to perform a Wage and Benefit Study of the major
employers in the region; and,
WHEREAS, the total cost of the General Labor Market Assessment will be $25,000.00,
with T U Electric having made a contribution of $3,000.00, leaving a balance to be divided
between the cities of Paris, Sulphur Springs, and Commerce, with the Paris Economic
Development Corporation's portion being $7,333.34, and the cost of the Wage and Benefit Study
will be $2,500.00; NOW, THEREFORE,

BE IT RESOLVED BY THE PARIS ECONOMIC DEVELOPMENT
CORPORATION, that the services of the Economic Development Services Company be procured
for the purpose of conducting a General Labor Market Assessment and a Wage and Benefit Study;
and,
BE IT FURTHER RESOLVED, that the Director of Finance of the City oF Paris, W. E.
Anderson, be, and he is hereby, authorized and directed to issue payment to the Economic
Development Services Company in the amount of $7,333.34 for said General Labor Market
Assessment and $2,$00.00 for said Wage and Benefit Survey.

Boardmember Dick Amis, made a motion, seconded by Boardmember Barney
Bray that this resolution be adopted, and the Board voted unanimously to adopt
the resolution.
President Fendley stated that the next item on the agenda concerned the
purchase of lots in the Southwest Industrial Park, and he asked Mr. Vest to
discuss this item. Mr. Vest stated that the property in question consisted of 38.6
acres in the Southwest Industrial Park currently owned by the Paris Industrial
Foundation. Mr. Vest proposed that P.E.D.C. purchase the 38.6 acres from the
Paris Industrial Foundation then P.E.D.C. will own the land and be able to do
whatever is necessary in dealing with prospective users.
City Attorney T.K. Haynes read the resolution.

Block B, located in the Southwest Industrial Park, from the Paris, Texas Industrial
Foundation.

RESOLUTION NO. 97-010
WHEREAS, thc Paris Economic Development Corporation is desirous of purchasing Lots
I and 2, and part of Lot 3, Block B, located in the Southwest Industrial Park, from the Paris,
Texas Industrial Foundation at the cost of $50,000.00, and the Paris, Texas Industrial Foundation
is agreeable to the same; NOW, THEREFORE,
BE IT RESOLVED BY THE PARIS ECONOMIC DEVELOPMENT
CORPORATION, that thc purchase of Lots 1 and 2, and part of Lot 3, Block B, located in the
Southwest Industrial Park, from the Paris, Texas Industrial Foundation at the cost of $50,000.00,
be, and the same is hereby, approved; and,
BE IT FURTHER RESOLVED, that the Director of Finance of the City of Paris, W. E.
Anderson, be, and he is hereby, authorized and directed to issue payment to the Paris, Texas
Industrial Foundation in the amount of $50,000.00 for said property; and,
BE IT FURTHER RESOLVED, that the City Attorney of the City of Paris, T. K.
Haynes, be, and he is hereby, authorized and directed to do or cause to be done all things
necessary to effect such purchase.

Boardmember Michael Rhodes, made a motion, seconded by Boardmember
Barney Bray that this resolution be adopted, and the Board voted unanimously to
adopt the resolution.
President Fendley stated the next item on the agenda was discussion of the loan
guaranty pay-off to the local bank consortium concerning the BITCO project. Mr.
Vest reported that they are still working with the BITCO prospects, and that he
had discussed the equipment with the prospect. After discussion by the
Boardmembers, Mr. Fendley stated that perhaps this item should be placed back
on the agenda in January. Mr. Amis said that the problem has been that in the
technical writing of the guaranty, the equipment must be sold first and then pay
off the guaranty. Mr. Vest stated that he felt if the current prospective buyer falls
through, then we are back to having a public auction with NationsBank doing the
liquidation and then paying the guaranty. Mr. Vest stated that ninety days from

this point was a reasonable time period-in connection with the current prospect.
After discussion by the boardmembers, President Fendley stated that Mr. Vest
should go back to the prospect and advise them that this must be resolved within
sixty days or the Board will proceed with the liquidation. Mr. Fendley stated that
at the end of the sixty days we should let NationsBank proceed with the
liquidation and pay off the guaranty after we have liquidated the assets. After
discussion, the Boardmembers agreed that if the prospect is still interested at the
end of the sixty days, the prospect must put up some money. After discussion
by the Boardmembers, President Fendley stated that it was the consensus of the
Board that-a sixty day deadline be given to the current prospect, and at the end of
the sixty days, the Board will come back and proceed as necessary.
President Fendley asked if there was any other business and there being none he
declared the board meeting adjourned.
