1998-06-10-Minutes 324 MINUTES OF THE PARIS ECONOMIC DEVELOPMENT CORPORATION REGULAR MEETING June 10, 1998 The Paris Economic Development Corporation met in a regular meeting on Wednesday, June 10, 1998, at 4:00 P.M., in the City Hall North Annex, Meeting Room, Paris, Texas. President Curtis Fendley called the meeting to order with the following boardmembers present: Dick Amis, Michael Rhodes, and Leon Williams. Also present at this meeting were ex-officio boardmembers, Bobby Walters, Mayor Charles Neeley, County Judge Chuck Superville, Executive Director Gary Vest, City Manager Michael E. Malone and City Attorney Scott Foster. President Fendley stated that the next item on the agenda was approval of the minutes from the previous meeting of the Paris Economic Development Corporation. He asked if there were any corrections or additions to the minutes of the previous meeting and there were none. President Fendley stated since there were no corrections or additions to these minutes they stood approved as presented. President Fendley asked Gene Anderson, Director of Finance, to give the financial report. Mr. Anderson gave the May report. President Fendley asked if anyone had any questions, and there were none. Boardmember Mike Rhodes made a motion, seconded by Boardmember Dick Amis, that the financial report be approved as presented. The motion carried unanimously. President Fendley stated that the amendment to Section 4-13 of the Bylaws was passed by the City Council at their June meeting. President Fendley asked Mr. Vest to give his report. Mr. Vest discussed responses received due to the advertising program, the Precision Printing Project activities, and the activities concerning the B&W Plant property. Mr. Vest mentioned the East Texas Gulf Highway Association activities and progress made on the Green Carpet Memorial Route. President Fendley stated that the next item on the agenda concerned the execution of a contract for conducting an auction of the BITCO equipment on June 25, 1998. Mr. Fendley stated that this item was discussed at the May meeting. Mr. Vest discussed P.E.D.C.'s obligation to Investment Recovery Services who will be conducting the auction. Resolution No. 98.005, authorizing the execution of a contract with Investment Recovery Services to conduct an auction of the BITCO International Company, dba BITCO equipment on June 25, 1998. PARIS ECONOMIC DEVELOPMENT CORPORATION RESOLUTION NO. 98-005 WHEREAS, the Paris Economic Development Corporation did heretofore, on the 16th day of August, 1995, in Resolution No. 95-014, which was amended on the 13th day of November, 1995, by Resolution No. 95-017, resolve to guarantee seventy-five percent (75 %) of the master loan made to Bits International Company, d.b.a. Bitco; and, 325 WHEREAS, the Paris Economic Development Corporation did heretofore, on the 29th day of January, 1998, in Resolution No. 98-001, authorize payment of said guaranty obligation to NationsBank of Texas for appropriate distribution to the participating banks as follows: payment of seventy-five percent (75 %) of the guaranty of principal, said payment being in the -- amount of $270,000.00; payment of one hundred twenty (120) days interest on said guaranty at the rate of ten and one-quarter percent (10.25%), said interest payment being $12,131.50; and payment to NationsBank of the net proceeds of the sale of equipment up to one hundred percent (100%) of the principal plus the interest described herein; and, WHEREAS, in accordance with the above-described terms of said payment of its guaranty obligation, it is deemed appropriate that the Paris Economic Development Corporation conduct a public auction on June 25, 1998, to dispose of the equipment; and, WHEREAS, the Director of Economic Development, Gary Vest, recommends the selection of Investment Recovery Services (IRS) to conduct said auction; and, WHEREAS, the form of the Contract Agreement, attached hereto as Exhibit A, should, in all things, be approved, and the President, Curtis Fendley, should be authorized to execute the same; NOW, THEREFORE, BE IT RESOLVED BY THE PARIS ECONOMIC DEVELOPMENT CORPORATION, that the form of the Contract Agreement with Investment Recovery Services (IRS) for auctioneer services, attached hereto as Exhibit A, be, and the same is hereby, approved; and, -- BE IT FURTHER RESOLVED, that the President, Curtis Fendley, be, and he is hereby, authorized and directed to execute, on behalf of the Paris Economic Development Corporation, the Contract Agreement with IRS, under the terms and conditions and in the form shown in Exhibit A, attached hereto. Boardmember Dick Amis made a motion, seconded by Boardmember Leon Williams that this resolution be adopted, and the Board voted unanimously to adopt the resolution. President Fendley stated the next item on the agenda was approving the Annual Plan of Work for fiscal year 199811999. He asked Mr. Vest to discuss this item. Mr. Vest read the Summary of the Annual Plan of Work and discussed changes. 328 Resolution No. 98-006, approving the Annual Plan of Work outlining the activities, tasks, projects and programs to be undertaken by the Board during the fiscal year 1998/t999. PARIS ECONOMIC DEVELOPMENT CORPORATION RESOLUTION NO. 98-006 WHEREAS, the Paris Economic Development Corporation, in keeping with Section 4.03 (4) of its Bylaws, is obligated to develop an annual plan of work outlining the activities, tasks, projects and programs to be undertaken by the Board during the upcoming fiscal year and to deliver the same to the City Manager of the City of Paris on or before June 30 of each year; and, WHEREAS, the annual plan of work attached hereto as Exhibit A is hereby presented by the Director of Economic Development, and it is appropriate that such plan be approved; NOW THEREFORE; BE IT RESOLVED BY THE PARIS ECONOMIC DEVELOPMENT CORPORATION, that the annual plan of work attached hereto as Exhibit A be, and the same is hereby, approved; and, BE IT FURTHER RESOLVED, that the Director of Economic Development be, and he is hereby, directed to deliver the annual plan of work to the City Manager of the City of Paris. Change can be good or bad, look at Babcock & Wilcox or Campbell Soup and PACE. Our job as the economic development corporation for Paris is to embrace change and make it work to our advantage. People of goodwill through their civic-mindedness can come to agreement for the betterment of our community even though there may be disagreement. The long term overall economic development program of the PEDC is a strong and solid strategic plan. Utilizing this plan and incorporating it into an annual program of work means setting goals such as expanding our number of manufacturing jobs, growing our population, increasing our gross product, increasing our tourism activity and capitalizing on the impact of our retirement commtmity. In order to accomplish the goals and objectives of the PEDC, we must have complete and entire community support. Not only do we need the moral and verbal support of each and every citizen of Lamar County, but also fiscal and legislative support of the City, County, School Districts and Paris Junior College. We can be assured that nobody else is going to do the economic development of Paris and Lamar County for us. The days of TU Electric carrying our program and our banner are over. There is a new way of doing economic development where there can be no "they". Today we use public money for private purposes and economic incentives are not an option, they are a requirement. We must ask the general public not to find fault with what we have done, but rather to show us how to do things which are fault free - we must promote success. Paris' local employees, whether it be industry, service, medical or other economic sector, know the jobs, they have the jobs and they must be involved in growing jobs. Anyone who refers to "they" is a part of the problem and not the solution. In any process as intricate as economic development, there is a need to know' rule of order. Each and every person in our community is a part of the process but not everybody will know every detail of our economic development projects and efforts. That does not mean anyone is less important or vital to the process. As the PEDC endeavors to carry out this ambitious Program of Work, it must be remembered that there is no "they" when it comes to economic development. The charge of the Paris City Council was simple in statement: To develop a comprehensive business incentive package with approval criteria that would encourage employment growth, focusing all endeavors on the implementation of the Mission Statement. However, an overall economic development program is anything but simple. Economic development, in the fullest sense, is a mix of bringing money (new dollars) and investment into the City. The PEDC Program of Work develops specific actions and programs that take advantage of Paris' strengths and mitigate weaknesses in order to accomplish the Council's charge. It focuses the activities of the PEDC by concentrating on those programs that have the best chance of succeeding. The Program of Work involves the process of: · Establishing goals and objectives; · Concentrating on limited issues; · Developing general policy recommendations; and · Implementing specific actions. Integral to the process of selecting goals and objectives is the acknowledsment that there are restraints on the program and activities selected for inclusion. Besides the legal restrictions that dictate how the sales tax revenues can be spent, there is the reality that to be successful the efforts of the Corporation must be targeted. EXHIBIT A 335 OVERALL ECONOMIC DEVELOPMENT PROGRAM PAGE 2- This program is founded on the retention, expansion, and attraction of industrial/manufacturing activity because this economic sector offers Paris the best potential to expand and diversify its economic base - thereby creating and upgrading job opportunities and the Paris quality of life. The development and attraction of primary employers perfom-dng value added services and drawing new dollars from outside the immediate and limited confines of the Paris market will best accomplish this long-term objective. OBJECTIVE To maintain and retain existing indush-y in the Paris area and encourage and assist the expansion of these currently existing industries and their employment base. - ACTIONS 1.) Find an industrial user for the Babcock & Wilcox facility. 2.) Increase manufacturing sector employment by 100 jobs. 3.) Increase Lamar County population by 5%. 4.) Participate with the Chamber of Commerce Industrial Managers Group. 5.) Recognize local industries for expansion, growth, and outstanding contribution to the Paris economy. 6.) Initiate a program of personal visitation by PEDC to local industries. 7.) Solicit Parisians to make personal calls on corporate headquarters of existing industry and prospective industry . 8.) Work with the Chamber of Commerce to publish and distribute a directory of Paris and Lamar County manufacturers. 9.) Utilize survey of existing industry to develop prospect list. 10.) Leverage PEDC funds to finance expansion of existing Paris industry. 11.) Make local industries aware of any and all assistance programs for the expansion of existing operations. EXHIBIT A 337 --. Utilize staff to effectively carry out all economic development functions of the PEDC. GOAL II. Recruitment of New Primary Employers Recruitment of new primary employers in manufacturing, distribution/warehousing, and basic industrial activities by marketing the locational advantages and amenities of Paris. OBJECTIVE Gain regional, state, and national recognition of the positive aspects of doing business in Paris, to attract new primary employers. ACTIONS 1.) Publish brochures that promote Paris as an optimal business location. 2.) Develop advertising materials to be used in magazines, newspapers, billboards, and direct mail. 3.) Participate in promotional activities such as those supported by the Texas Marketing Team. 4.) Develop target industry groups and conduct direct solicitation. 5.) Participate with industrial allies in trade shows of target industry sectors, also participate with the World Economic Development Alliance. 6.) Contact prospective industries for facility locations in Paris. 7.) Develop a library of statistical and demographic information on Paris and the trade area. 338 8.) Work in close cooperation with industrial allies, such as TU Electric, Lone Star Gas, Railroads, Texas Department of Agriculture, and the Texas Department of Economic Development. ACTIONS · 9.) Participate in the American Chambers of Commerce Researchers Association (ACCRA) Cost of Living Survey. 10.) Participate in the ACCRA Community Profile Program. 11.) Maintain a Home Page for PEDC on the Internet with direct links to other assisting agencies such as TDED, PJC and others that may be developed. 12.) Participate in the Texas Department of Economic Development Community Profile Program. 13.) Develop an industrial allies appreciation day. 14.) Have Paris recognized as a Lone Star City. 15.) Establish relationship with state and national legislature to influence decisions that affect economic development and enhance the local and state business climate. 16.) Participate in the Texas Economic Development Council. 17.) Participate in the North East Texas Economic Developers Roundtable. 18.) Participate in the American Economic Development Council. 19.) Secure occupant for the Model Building on N.W. Loop. 20.) Utillze the tax abatement incentive programs as defined by the City of Paris. 21.) Promote the "Freeport Exemption" of taxes on goods in transit as a location incentive. 339 GOAL III. Start-Up Business-and Small Business Development -- Encourage start-up business and small business development through the entrepreneurial spirit of the Paris economic environment. - OBJECTIVE -. To have new innovative businesses develop in Paris, as well as to increase the small business sector. ACTIONS - 1.) Coordinate closely with the Small Business Development Center to provide assistance in the development of business plans and creative financing. - 2.) Work with the Ark-Tex Council of Governments to develop a · ' Revolving Loan Fund for Paris small businesses. 3.) Work with Ark-Tex Council of Governments to utilize the Chapman Revolving Loan Fund. 4.) Work diligently with city government to establish one-stop, fast- --- track business permitting. 5.) Promote the Paris Enterprise Zone Program as a locational incentive. 6.) Encourage and assist new industrial support services. GOAL IV. Infrastructure/Training Infrastructure development and workforce training to support the other -- goals of the PEDC. OBJECTIVE Provide necessary support systems to entice, existing industry to expand in Paris and new industries to locate in Paris and provide a trained and ready workforce for industry. 340 ACTIONS 1.) Support the improvement and preservation of transportation access into Paris, ground, rail, and air. 2.) Develop industrial sites for prospective industry: cleared, identified with development plans, including clear title to N.W. Industrial District site. 3.) Re-evaluate a model building program to attract prospective industry. 4.) Coordinate industry training needs with local school districts and Paris Junior College. 5.) Support the Texas Workforce Commission and the Local Workforce Development Board in providing training and assistance to the Paris' area workforce. 6.) Promote the Smart Jobs Program to Paris and Lamar County industries. 7.) Promote the Skills Development Fund to finance training of Paris area technical workforce through Paris Junior College. 8.) The primary goal is prospect development through inquiry generation and image building. Boardmember Dick Amis made a motion, seconded by Boardmember Leon Williams that this resolution be adopted, and the Board voted unanimously to adopt the resolution. President Fendley stated the next item on the agenda was approving the Annual Budget for fiscal year 199811999. He said that this item would be tabled because some of the items are uncertain at this time in connection with the Annual Budget for the upcoming year. Mr. Fendley said that the Board should be able to act on this budget by the July 1 requirement. He said that there would probably be a special called meeting to discuss and act on the annual budget. He called for questions and there were none. President Fendley stated that the next agenda item had been discussed at the May meeting. He asked Mr. Vest to review this information. Mr. Vest discussed the qualifications report on Zephyr Environmental Corporation, and he requested approval of the resolution opposing the clean air strategy as announced by the T.N.R.C.C. and authorizing membership in the Texas Air Quality Coalition. Resolution No. 98-007, opposing the clean air strategy as announced by the Texas Natural Resource Conservation Commission including Lamar County in the 62 miles volatile organic compound control area or the 124 mile nitrogen oxide control area as proposed by TNRCC by supporting the Texas Air Quality Coalition and authorizing membership in the same. PARIS ECONOMIC DEVELOPMENT CORPORATION RESOLUTION NO. 98~007 WHEREAS, the Board of Directors of the Paris Economic Development Corporation is concerned with the economic development and well being of the City of Paris as a rural/industrial environment of Northeast Texas; and, WHEREAS, the proposed clean air strategy of the Texas Natural Resource Conservation Commission (TNRCC) would be extremely detrimental to the economic development of the City of Paris, the County of Lamar, and all of Northeast Texas; and, WHEREAS, the Northeast Texas area is a separate and independent region from the Dallas/Ft. Worth area; and, WHEREAS, the Northeast Texas area is not a contributor to neither the VOC nor the NOx conditions of the Dallas/Ft. Worth region; and, WHEREAS, the City of Paris, the County of Lamar, and the Northeast Texas region are agreeable to voluntary compliance and restraints on air emissions to maintain our clean air position and 100% attainment status; and, WHEREAS, the potential impact of this proposal is much greater on the Northeast Texas region as a rural/industrial environment; WHEREAS, it is deemed appropriate that the Paris Economic Development Corporation oppose inclusion of the City of Paris, the County of Lamar, and the Northeast Texas region into the sixty-two (62) mile VOC control area or the one hundred twenty-four (124) mile NOx control area as proposed by TNRCC; and, 365 WHEREAS, it is further deemed appropriate that the PEDC support the efforts of the Texas Air Quality Coalition in ensuring that the proposed regional air strategy does not negatively impact the economic interests of the City of Paris; and, __ WHEREAS, to assist the Texas Air Quality Coalition in their efforts, it is deemed appropriate that the Paris Economic Development Corporation provide financial support in the amount of $5,000.00; NOW, THEREFORE, BE IT RESOLVED BY THE~ BOARD OF DIRECTORS OF THE PARIS ECONOMIC DEVELOPMENT CORPORATION, that the PEDC opposes inclusion of the City of Paris, the County of Lamar, and the Northeast Texas region into the sixty-two (62) mile VOC control area or the one hundred twenty-four (124) mile NOx control area as proposed by TNRCC; and, BE IT FURTHER RESOLVED, that the PEDC supports the efforts of the Texas Air Quality Coalition in ensuring that the proposed regional air strategy does not negatively impact the economic interests of the City of Paris and that financial assistance be, and the same is hereby, granted to said Coalition in the amount of $5,000.00; and, BE IT FURTHER RESOLVED that the Director of Finance, W. E. Anderson, be, and he is hereby, authorized and directed to issue payment to the Texas Air Quality Coalition in the amount of $5,000.00. PASSED AND APPROVED this 10th day of June, 1998.
