A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS,
PARIS, TEXAS, AWARDING THE BID AND AUTHORIZING THE
EXECUTION OF A CONTRACT FOR THE FURNISIllNG AND DELIVERY
OF LABOR, MATERIALS, AND EQillPMENT AND FOR PERFORMING
ALL WORKREQillRED FOR GROUNDS MAINTENANCE (MOWING) ON
CITY OF PARIS PARKS AND FACILITIES; MAKING OTHER FINDINGS
AND PROVISIONS RELATED TO THE SUBJECT; AND DECLARING AN
EFFECTIVE DATE.
WHEREAS, the City Council of the City of Paris did heretofore, on the 14th day of
February, 2005, in Resolution No. 2005-032, authorize the City staff to advertise for bids for
furnishing labor, materials, and equipment and for performing all work required for grounds
maintenance (mowing) on City of Par is parks and facilities, which bids were received until 3 :00
o'clock p.m., Tuesday, April 19, 2005; and,
WHEREAS, the best bid for such grounds maintenance was made by Good Tree Service,
Route I, Box 2220, Detroit, Texas 75436, and it should be awarded the bid for such services;
and,
WHEREAS, the form of the contract for such services, attached hereto as Exhibit A,
should, in all things, be approved, and the Mayor should be authorized to execute the same;
NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, PARIS,
TEXAS:
Section 1. That the findings set out in the preamble to this resolution are hereby in all
things approved.
Section 2. That the bid of Good Tree Service, for furnishing labor, materials, and
equipment and for performing all work required for grounds maintenance (mowing) on City of
Paris parks and facilities, in the amount of $26,200.00, is hereby accepted and let, conditioned
upon said contractor meeting all of the terms and specifications included in the bid documents
and contractor agreeing to provide and providing adequate background checks on employees
and subcontractors who will provide services under the contract.
Section 3. That the Mayor be, and he is hereby, authorized and directed to execute, on
behalf of the City of Paris, the contract with Good Tree Service for grounds maintenance
(mowing) on City of Paris parks and facilities, under the terms and conditions and in the form
shown in Exhibit A, attached hereto.
Section 4. That this resolution shall be effective from and after its date of passage.

KNOW ALL MEN BY THESE PRESENTS:
THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, by and
through its Mayor, duly authorized, hereinafter called CITY, and GOOD TREE
SERVICE of Paris, Texas, hereinafter called CONTRACTOR, do hereby contract
and agree as follows:
1. The effective date of this agreement shall be June 1, 2005.
2. That the contract documents which are hereby made a part of this
Agreement by the actual attachment or by this reference thereto are as
follows:

3. CONTRACTOR agrees to provide grounds maintenance in accordance with
the Specifications attached hereto as Exhibit A, together with those which
may be issued as supplements thereof, the Invitation to Bid (Exhibit B), and
the Contractor's Bid Form (Exhibit C); provided, however, that in the event
of perceived conflict or ambiguity, the provisions of this Agreement, the
Specifications, and the Invitation to Bid shall control, in that order.
4. That, in consideration of the faithful compliance with the terms and
conditions of this Agreement, the CITY shall pay to the CONTRACTOR, at
the times and in the manner provided in said specification, the total sum
of Twenty-Six Thousand Two Hundred and no/ 100 Dollars ($26,200.00) per
year, in twelve (12) equal monthly installments of $2,183.33 each, which
sum is subject, however, to increase or decrease in such proportion as
provided in the Specifications (Exhibit A).
5. That this contract shall be for a term of one (1) year, commencing on June
1,2005, and ending on May 31,2006.

. 6. That CONTRACTOR must, at all times during the term of this Agreement,
keep and maintain in full force and effect a policy or policies of insurance,
providing at least $250,000.00 per person and $500,000.00 for any single
occurrence for bodily injury or death and $100,000.00 for any single
occurrence for injury to or destruction of property, indemnifying all persons
for any and all damages, personal injuries, or property damages sustained
as the result of the negligence of CONTRACTOR, its agents, servants, or
employees, and shall pay all premiums due thereon when due. It is
expressly provided that such insurance policy or policies shall and must be
written and issued by a reputable insurance company or companies, with
CITY as an additional insured effective while CONTRACTOR is on property
owned by CITY, subject to approval by the City Attorney of the City of Paris,
and CONTRACTOR or its insurance carrier or carriers shall deliver a copy
of any such policies to the City Clerk of the City of Paris, 150 1st Street
S.E., Paris, Texas 75460, or furnish to said City Clerk a current letter or
certificate from such company or companies, evidencing the fact that such
insurance is in full force and effect at all times during this Agreement, and
any extensions hereof, and specifically noting thereon that CITY is an
additional insured while CONTRACTOR is on property owned by CITY. All
such policies shall be written so that the CITY will be notified of cancellation
or of any restrictive amendment of the policies at least thirty (30) days prior
to the effective date of such cancellation or amendment. Notice shall be by
certified mail, return receipt requested, addressed to the CITY at the
following address: City Clerk, City of Paris, P. O. Box 9037, Paris, Texas
75461-9037.
7. CITY and CONTRACTOR have the right to unilaterally terminate this
agreement at any time upon sixty (60) days written notice to the other party.
CITY retains the right to terminate this agreement upon thirty (30) days
written notice to CONTRACTOR for failure to perform the services required
hereunder.
8. CONTRACTOR covenants and agrees that during the term of this
agreement, the services to be provided hereunder remain the sole
responsibility of CONTRACTOR, and that CONTRACTOR shall not during
the term of this agreement assign, subcontract, or in any other way
authorize or retain other parties to provide such services without the
express written consent of CITY.
9. As a condition to performance of this agreement, CONTRACTOR agrees to
provide, or at the CITY's option, cooperate with the CITY in providing,

detailed background checks on all personnel, whether employees or
subcontractors, who will be providing services under this agreement. All
new personnel or subcontractors working under this agreement shall
likewise be checked, such that no personnel or subcontractors shall be
performing services under this agreement who have not been subject to
such tests. The CITY reserves the right to disqualify any CONTRACTOR
employee or subcontractor from working under this agreement as a result
of such background check.

CLARIFICATION TO SPECIFICATIONS, FOR ANNUAL CONTRACT FOR CITY

#1 Additional Mowinl!s
Wade Park could possibly require several additional mowings.
#1 Advance Notice for Mowinl!
City will give seven (7) to ten (10) days advance notice for mowing.
#8 Flower Beds. Gateway Entrance and Plaza Area
First year of contract only, contractor will be responsible for providing and planting seasonal
flowers a minimum of once in the Fall in all flower beds, at the Gateway entrance and a total
of twelve (12) planters in the downtown Plaza area. Flowers to be spaced no more than 8
inches apart.
Second and third year of contract, contractor will be responsible for providing and planting
seasonal flowers a minimum of twice per year, once in the Spring and once in the Fall, as
described in above paragraph.
#12 Workers Compensation
In addition to other insurance to be provided we also require bidder to have current
liability and workman's compensation insurance at the time of bid opening. No
exceptions.
#14-C Subcontracting
Subcontractors will be allowed to perform 50% of the contract. The general contractor will
be responsible for providing insurance coverage for the subcontractor. All subcontractors
and equipment shall be approved by the City of Paris prior to any work being performed.

This will be a one year contract with option for two additional one year options.

#12 Insurance
In addition to other insurance to be provided we also require bidder to acquire liability and
workman's compensation insurance prior to signing a contract with the City of Paris. The
city shall be listed as an additional insured on the liability insurance policy, with a minimum
30 day cancellation notice.

GROUND MAINTENANCE
DATE: April 18, 2005
TO: PROSPECTIVE BIDDERS
#13 Pre-bid Conference
Bidders must use the attached bid form. A pre-bid conference will be conducted on April13,
2005 at 10:00 a.m. in the city manager's conference room, Paris, Texas (The pre-bid
conference is not mandatory).
MOWING SPECIFICATIONS
1. During the growing season, all areas will have maintenance performed on an as needed basis,
as determined by the Parks Supervisor. This will include a minimum of four mowings per
year per site.
2. Contractoris responsible for the following: Mow all existing grass or turf on property; weed-eat
around all fence lines, trees, tables, pavilions, playground equipment or other applicable
structures on property; edge all applicable concrete including curb and sidewalks; remove all
clippings; blow dust, clippings and leaves off hard surface areas; trim applicable hedges and
shrubs on property (per specifications by the parks supervisor); remove weeds, debris and leaves
from any applicable flower beds. The contractor is also responsible for mowing, trimming and
leaf control through the summer months and on an as needed basis through the winter months.
3. The City of Paris will be responsible for chemical applications to properties and pruning any
existing trees.
4. Bidders must have a minimum of three (3) years experience in commercial grounds maintenance
operations.
5. Bidders should include a list of references for whom they have performed grounds maintenance
during the past three (3) years.
6. Bidders must have current public liability insurance not less than Five Hundred Thousand
Dollars ($500,000) and workman's compensation insurance at the time of bid opening. No
exceptions.
7. Bidders must use the attached bid form. A mandatory pre-bid conference will be conducted
on April 13, 2005 at 10:00 a.m. in the city manager's conference room, Paris, Texas
8. Bidders must currently own or operate a landscape company at time of bid and the equipment
capable of performing the work required. No exceptions.
A. The Contractor(s) shall provide hislher own equipment, labor, fuel and any other
materials necessary to complete the required work. The Contractor(s) shall be
responsible for the maintenance and repair of hislher own equipment and the
availability, presence and supervision of hislher own employees.
B. The Contractor(s) is required to have a competent and experienced supervisor/foreman,
with each work group at all times. The supervisor/foreman referred to herein may be a
working foreman operating a mower or other equipment. This supervisor/foreman must
be able to communicate effectively with the City Representative.
9. Upon bid award, the total base bid amount shall be divided by 12 months and paid to the
contractor on a monthly basis. All additional mowings (anything over four (4) mows per
property/park/median) will be requested by the Park Supervisor and be separately invoiced.
10. The City reserves the right to request additional mowings on an individual basis as determined
by the Park Supervisor. The City reserves the right to add or subtract the mowing of facilities
and the monthly payments will be adjusted accordingly.
11. Bidders are encouraged to contact the Supervisor of Parks or the Assistant Director of Public
Works at 784-9289 for assistance determining property boundaries. Various changes have
been made regarding facility boundaries since the last project.
12. The City of Paris reserves the right to reject any or all bids, to waive any informality in bidding,
and to award the bid as may be advantageous to the City.
13. The mowing of all sites shall include the mowing and trimming of all grass and weeds within
each area.
14. All litter and debris will be removed by the Contractor prior to mowing. No separate pay item
shall be allowed for litter control. Any paper, cans, or bottles cut or broken during maintenance
operations shall be completely removed from the site immediately prior to proceeding with the
maintenance of other areas.
15. Any area that contains a creek, drainage area or channel shall be mowed from the top of the
banks to waters edge. Trimming around trees, shrubs, fences and all other obstructions will be
performed using mechanical devices and/or hand labor when necessary. Weeds growing in
cracks of curbing, sidewalks, pavestone and or concrete shall be removed by contractor.
16. Sidewalks and other pedestrian areas must be swept or blown clean after each cycle.
17. Contractor's personnel working in medians and on roadways shall be required to wear a
safety orange vest or other safety garment. Care should be taken to avoid conflicts with
oncoming traffic.
18. Alternate mowing service may be revised by the City Representative as conditions warrant.
19. Clippings shall not be blown into the street or roadway.
20. Mowing and trimming of weeds and grass over the entire area is to be completed before
moving to the next property.
21. Care shall be taken to protect these trees and shrubs from damage by mowing and trimming
equipment.
22. Shrubs and ground covers shall be hedged, pruned, or trimmed by the Contractor on an as
needed basis on all contracted City properties during the mowing season. All resultant
debris shall be removed by the Contractor at his/her expense. Trimming of trees will be
performed by the Park Department personnel and will not considered part of the Contractor's
responsibilities.
23. Turf type tires will be mandatory on all equipment to avoid turf damage and rutting.
24. Contractor will be responsible for providing and planting seasonal flowers a minimum of
twice per year, (once in the spring and once in the fall), in all flower beds and planters in City
parks and downtown Plaza area. Flowers to be spaced no more than 8 inches apart.

NOTICE TO BIDDER
The City of Paris will receive sealed bids at the Office of the City Manager, City of Paris, 135 151 SE,
Post Office Box 9037, Paris, Texas 75461-9037 for the furnishing of labor, materials, and
equipment, and for performing all work required for grounds maintenance (mowing) on City
of Paris parks and facilities.
Bids will be received until 3:00 P.M. on Tuesday, April 19, 2005, at which time all bids will be
publicly opened at the City of Paris City Hall Building, 135 1" SE, Paris, Texas, read aloud,
tabillated and referred to the City Council for consideration. All bids must be submitted on City
of Paris bid form(s).
Information, specifications and bid forms may be obtained at the Office of the City Manager, City
Hall, 135 151 SE, Paris, Texas 75460.
Those submitting bids are notified of city exemption from otherwise applicable sales and excise
taxes.
The City of Paris reserves the right to reject any and all bids, to waive any informality in bidding,
and to award bids as may be advantageous to the City. Time may be a consideration in awarding of
this bid.
All bids should be submitted on the City of Paris bid form.
